Skatteavtalet med Chile innehåller två mest-gynnad-nations-klausuler (MFN-klausuler) som avser ränta och royalty. Båda har aktiverats vilket innebär att ränta och royalty ska beskattas med en lägre procentsats i källstaten.

Vad omfattar MFN-klausulerna i skatteavtalet med Chile?

Det finns två MFN-klausuler i skatteavtalet med Chile som innebär att ränta och royalty kan undantas från beskattning i källstaten eller ska beskattas med en lägre procentsats än den som anges i avtalet om förutsättningarna i klausulen är uppfyllda. Läs mer om vad mest-gynnad-nations-klausuler är.

Ränteartikeln ska tillämpas på annat sätt än vad som anges i skatteavtalet

MFN-klausulen har aktiverats eftersom Chile har ingått skatteavtal med Japan och Italien där ränta beskattas med en lägre procentsats. Avtalen mellan Chile och Japan respektive Chile och Italien tillämpas fr.o.m. den 1 januari 2017. Eftersom övriga villkor i MFN-klausulen är uppfyllda påverkar det tillämpningen av artikel 11 i avtalet mellan Sverige och Chile från samma tidpunkt. Dessutom sänks den allmänna procentsatsen ytterligare fr.o.m. den 1 januari 2019. Det är en kombination av de båda avtalen som Chile har ingått med Japan och Italien som påverkar det svenska avtalet med Chile.

Följden är att artikel 11 punkt 2 i skatteavtalet mellan Sverige och Chile ska tillämpas på följande sätt.

Beskattningen av ränta i källstaten får inte överstiga 4 procent av räntans bruttobelopp (med undantag för back-to-back-lån) om den som har rätt till räntan är

  • en bank
  • ett försäkringsbolag
  • ett företag som bedriver aktiv och regelbunden utlånings- eller finansieringsverksamhet (om vissa förutsättningar är uppfyllda)
  • ett företag som sålt maskiner eller utrustning på kredit
  • ett företag där, under en treårsperiod före det beskattningsår som räntan betalas, mer än 50 procent av företagets skulder härrör från utgivande av obligationer på de finansiella marknaderna eller från inlåning mot ränta och mer än 50 procent av företagets tillgångar består av fordringar på icke närstående personer.

Beskattningen av ränta i källstaten får inte överstiga 5 procent av räntans bruttobelopp om den härrör från obligationer eller värdepapper som regelbundet och i huvudsak handlas på en erkänd värdepappersmarknad.

Beskattningen av ränta i källstaten får inte överstiga 15 procent av räntans bruttobelopp i övriga fall. Procentsatsen sänks till 10 procent fr.o.m. den 1 januari 2019.

Lydelsen i MFN-klausulen

Klausulen finns i protokollet till avtalet och lyder på följande sätt:

Artiklarna 11 och 12

Om en överenskommelse eller ett avtal mellan Chile och en medlemsstat av Organisationen för ekonomiskt samarbete och utveckling föreskriver att Chile undantar från beskattning ränta eller royalty (antingen generellt eller beträffande vissa typer av ränta eller royalty) som härrör från Chile, eller begränsar skatteuttaget på sådan ränta eller royalty (antingen generellt eller beträffande vissa typer av ränta eller royalty) till en lägre skattesats än som anges i artikel 11 punkt 2 eller artikel 12 punkt 2 i avtalet, skall sådant undantag eller lägre skattesats gälla automatiskt på ränta eller royalty (antingen generellt eller beträffande de särskilda typerna av ränta eller royalty) som härrör från Chile och som rätteligen tillkommer en person med hemvist i Sverige samt ränta eller royalty som härrör från Sverige och som rätteligen tillkommer en person med hemvist i Chile under samma förhållanden som om undantaget eller den lägre skattesatsen hade föreskrivits i nämnda punkter. Den behöriga myndigheten i Chile skall utan dröjsmål underrätta den behöriga myndigheten i Sverige när villkoren för tillämpningen av denna punkt har uppfyllts.

Artikel 11 (ränta) i skatteavtalet mellan Sverige och Chile

Det är punkt 2 i artikel 11 i skatteavtalet mellan Sverige och Chile som är berörd av MFN-klausulen. Den lyder på följande sätt:

2. Räntan får emellertid beskattas även i den avtalsslutande stat från vilken den härrör, enligt lagstiftningen i denna stat, men om den som har rätt till räntan har hemvist i den andra avtalsslutande staten får skatten inte överstiga:

a) 5 procent av räntans bruttobelopp om denna utgår på grund av lån som beviljats av bank eller försäkringsbolag,

b) 15 procent av räntans bruttobelopp i alla övriga fall.

Chile har tillhandahållit en text för hur artikel 11 ska tillämpas

Enligt MFN-klausulen ska den behöriga myndigheten i Chile underrätta den behöriga myndigheten i Sverige när villkoren för att tillämpa MFN-klausulen är uppfyllda. I samband med den underrättelsen tillhandahöll Chile följande text där Chiles båda skatteavtal med Japan och Italien sammanställts för att visa hur artikel 11 punkt 2 i skatteavtalet mellan Sverige och Chile ska tillämpas fr.o.m. den 1 januari 2017. Procentsatsen i punkt c) sänks till 10 procent den 1 januari 2019:

2. However, such interest may also be taxed in the Contracting State in which it arises and according to the laws of that State, but if the beneficial owner of the interest is a resident of the other Contracting State, the tax so charged shall not exceed:

(a) 4 per cent of the gross amount of the interest if the beneficial owner of the interest is either:

(i) a bank;

(ii) an insurance company;

(iii) an enterprise substantially deriving its gross income from the active and regular conduct of a lending or finance business involving transactions with unrelated persons, where the enterprise is unrelated to the payer of the interest. For the purposes of this clause, the term "lending or finance business" includes the business of issuing letters of credit, providing guarantees or providing credit card services;

(iv) an enterprise that sold machinery or equipment, where the interest is paid with respect to indebtedness arising as part of the sale on credit of such machinery or equipment; or

(v) any other enterprise, provided that in the three taxable years preceding the taxable year in which the interest is paid, the enterprise derives more than 50 per cent of its liabilities from the issuance of bonds in the financial markets or from taking deposits at interest, and more than 50 per cent of the assets of the enterprise consist of debt-claims against unrelated persons;

(b) 5 per cent on the gross amount of the interest derived from bonds or securities that are regularly and substantially traded on a recognized securities market;

(c) 15 per cent of the gross amount of the interest in all other cases. [OBS! 10 procent fr.o.m. den 1 januari 2019.]

For the purposes of subparagraph (a), an enterprise is unrelated to a person if the enterprise does not have with the person a relationship described in subparagraph (a) or (b) of paragraph 1 of Article 9.

Notwithstanding the provisions of subparagraph (a), if interest referred to in that subparagraph is paid as part of an arrangement involving back-to-back loans or other arrangement that is economically equivalent and intended to have a similar effect to an arrangement involving back-to-back loans, such interest may be taxed in the Contracting State in which it arises, but the tax so charged shall not exceed 10 per cent of the gross amount of the interest in cases provided in subparagraphs (iii) and (v) of the aforementiond subparagraph; and shall not exceed 5 per cent of the gross amount of the interest in cases provided in subparagraphs (i), (ii) and (iv) of the same subparagraph.

It is understood that the term "arrangement involving back-to-back loans" would cover, inter alia, any kind of arrangement structured in such a way that a financial institution which is a resident of a Contracting State receives interest arising in the other Contracting State and the financial institution pays an equivalent interest to another person which, if the person received the interest directly from the other Contracting State, would not be entitled to limitation of tax under subparagraph (a) with respect to that interest in that other Contracting State.

Artikel 11 (ränta) i skatteavtalet mellan Chile och Japan

Artikel 11 punkterna 2–4 har följande lydelse i den engelska versionen av skatteavtalet mellan Chile och Japan:

2. However, such interest may also be taxed in the Contracting State in which it arises and according to the laws of that Contracting State, but if the beneficial owner of the interest is a resident of the other Contracting State, the tax so charged shall not exceed:

(a) 4 per cent of the gross amount of the interest if the beneficial owner of the interest is either:

(i) a bank;

(ii) an insurance company;

(iii) an enterprise substantially deriving its gross income from the active and regular conduct of a lending or finance business involving transactions with unrelated persons, where the enterprise is unrelated to the payer of the interest. For the purposes of this clause, the term "lending or finance business" includes the business of issuing letters of credit, providing guarantees or providing credit card services;

(iv) an enterprise that sold machinery or equipment, where the interest is paid with respect to indebtedness arising as part of the sale on credit of such machinery or equipment; or

For the purposes of subparagraph (a), an enterprise is unrelated to a person if the enterprise does not have with the person a relationship described in subparagraph (a) or (b) of paragraph 1 of Article 9.

3. For a period of two years from the date on which the provisions of paragraph 2 of this Article shall be applicable in accordance with the provisions of paragraph 2 of Article 29, the rate of 15 per cent shall apply in place of the rate provided in subparagraph (b) of paragraph 2 of this Article.

4. Notwithstanding the provisions of subparagraph (a) of paragraph 2, if interest referred to in that subparagraph is paid as part of an arrangement involving back-to-back loans or other arrangement that is economically equivalent and intended to have a similar effect to an arrangement involving back-to-back loans, such interest may be taxed in the Contracting State in which it arises but the tax so charged shall not exceed 10 per cent of the gross amount of the interest.

Dessutom innehåller protokollet till avtalet följande punkt 6:

With reference to paragraph 4 of Article 11 of the Convention,

6. It is understood that the term "arrangement involving back-to-back loans" would cover, inter alia, any kind of arrangement structured in such a way that a financial institution which is a resident of a Contracting State receives interest arising in the other Contracting State and the financial institution pays an equivalent interest to another person which, if the person received the interest directly from the other Contracting State, would not be entitled to limitation of tax under subparagraph (a) of paragraph 2 of Article 11 of the Convention with respect to that interest in that other Contracting State.

Artikel 11 (ränta) i skatteavtalet mellan Chile och Italien

Artikel 11 punkt 2 har följande lydelse i den engelska versionen av skatteavtalet mellan Chile och Italien:

2. However, such interest may also be taxed in the Contracting State in which it arises and according to the laws of that State, but if the beneficial owner of the interest is a resident of the other Contracting State, the tax so charged shall not exceed:

a) 5 per cent on the gross amount of the interest derived from:

(i) loans granted by banks and insurance companies;

(ii) bonds or securities that are regularly and substantially traded on a recognized securities market;

(iii) a sale on credit paid by the purchaser of machinery and equipment to a beneficial owner that is the seller of the machinery and equipment.

b) 15 per cent of the gross amount of the interest in all other cases.

Royaltyartikeln ska tillämpas på annat sätt än vad som anges i skatteavtalet

MFN-klausulen har aktiverats eftersom Chile har ingått ett skatteavtal med Japan där royalty beskattas med en lägre procentsats. Avtalet mellan Chile och Japan tillämpas fr.o.m. den 1 januari 2017. Eftersom övriga villkor i MFN-klausulen är uppfyllda påverkar det tillämpningen av artikel 12 i avtalet mellan Sverige och Chile från samma tidpunkt.

Följden är att artikel 12 punkt 2 i skatteavtalet mellan Sverige och Chile ska tillämpas så att beskattningen av royalty i källstaten inte får överstiga 2 procent av royaltyns bruttobelopp när det gäller nyttjandet av eller rätten att nyttja industriell, kommersiell eller vetenskaplig utrustning (leasingavgifter) medan procentsatsen avseende övriga royaltybetalningar inte påverkas utan är oförändrad med 10 procent.

Lydelsen i MFN-klausulen

Klausulen finns i protokollet till avtalet. Den är gemensam för både ränte- och royaltyartiklarna och återges ovan under avsnittet om ränteartikeln.

Artikel 12 (royalty) i skatteavtalet mellan Sverige och Chile

Det är punkt 2 i artikel 12 i skatteavtalet mellan Sverige och Chile som är berörd av MFN-klausulen. Den lyder på följande sätt:

2. Sådan royalty får emellertid beskattas även i den avtalsslutande stat från vilken den härrör, enligt lagstiftningen i denna stat, men om den som har rätt till royaltyn har hemvist i den andra avtalsslutande staten får skatten inte överstiga:

a) 5 procent av royaltyns bruttobelopp för nyttjandet av eller rätten att nyttja industriell, kommersiell eller vetenskaplig utrustning,

b) 10 procent av royaltyns bruttobelopp i alla andra fall.

Chile har tillhandahållit en text för hur artikel 12 ska tillämpas

Enligt MFN-klausulen ska den behöriga myndigheten i Chile underrätta den behöriga myndigheten i Sverige när villkoren för att tillämpa MFN-klausulen är uppfyllda. I samband med den underrättelsen tillhandahöll Chile följande text för att visa hur artikel 12 punkt 2 i skatteavtalet mellan Sverige och Chile ska tillämpas fr.o.m. den 1 januari 2017 med anledning av Chiles avtal med Japan:

2. However, such royalties may also be taxed in the Contracting State in which they arise and according to the laws of that State, but if the beneficial owner of the royalties is a resident of the other Contracting State, the tax so charged shall not exceed:

(a) 2 per cent of the gross amount of the royalties for the use of, or the right to use, industrial, commercial or scientific equipment;

(b) 10 per cent of the gross amount of the royalties in all other cases.
