Ändring till och med: SFS 2010:1410

1 § Det avtal för undvikande av dubbelbeskattning och förhindrande av skatteflykt beträffande skatter på inkomst som Sverige och Malaysia undertecknade den 12 mars 2002 skall, tillsammans med det protokoll och den skriftväxling som är fogade till avtalet och som utgör en del av detta, gälla som lag här i landet. Avtalet och protokollet är avfattade på svenska, malaysiska och engelska. Skriftväxlingen är avfattad på engelska. Den svenska och engelska texten framgår av bilaga till denna lag.

2 § Avtalets beskattningsregler skall tillämpas endast till den del dessa medför inskränkning av den skattskyldighet i Sverige som annars skulle föreligga.

3 § Ha upphävts genom lag (2011:1410).

Övergångsbestämmelser

2004:874

1. Denna lag träder i kraft den dag regeringen bestämmer och tillämpas

a) beträffande skatt som innehålls vid källan, på inkomst som förvärvas den 1 januari kalenderåret närmast efter det år då lagen träder i kraft eller senare, och

b) beträffande andra skatter på inkomst, på skatter som tas ut för beskattningsår som börjar den 1 januari kalenderåret närmast efter det år då lagen träder i kraft eller senare.

2. Genom lagen upphävs lagen (1995:542) om dubbelbeskattningsavtal mellan Sverige och Malaysia.

Den upphävda författningen skall dock fortfarande tillämpas

a) beträffande skatt som innehålls vid källan, på inkomst som förvärvas före den 1 januari kalenderåret närmast efter det år då lagen träder i kraft, och

b) beträffande andra skatter på inkomst, på skatter som tas ut för beskattningsår som börjar före den 1 januari kalenderåret närmast efter det år då lagen träder i kraft.

Regeringen föreskriver att lagen (2004:874) om skatteavtal mellan Sverige och Malaysia skall träda i kraft den 31 december 2005.

Avtalet trädde i kraft den 29 januari 2005.

Bilaga

Avtal mellan Konungariket Sveriges regering och Malaysias regering för undvikande av dubbelbeskattning och förhindrande av skatteflykt beträffande skatter på inkomst

Konungariket Sveriges regering och Malaysias regering, som önskar ingå ett avtal för undvikande av dubbelbeskattning och förhindrande av skatteflykt beträffande skatter på inkomst, har kommit överens om följande:

Artikel 1

Personer på vilka avtalet tillämpas

Detta avtal tillämpas på personer som har hemvist i en avtalsslutande stat eller i båda avtalsslutande staterna.

Artikel 2

Skatter som omfattas av avtalet

1. De för närvarande utgående skatter, på vilka avtalet tillämpas, är:

a) i Malaysia:

1) inkomstskatten, och

2) inkomstskatten på petroleum,

(i det följande benämnd "malaysisk skatt"),

b) i Sverige:

1) den statliga inkomstskatten,

2) kupongskatten,

3) den särskilda inkomstskatten för utomlands bosatta,

4) den särskilda inkomstskatten för utomlands bosatta artister m.fl., och

5) den kommunala inkomstskatten,

(i det följande benämnd "svensk skatt").

2. Detta avtal tillämpas även på skatter på inkomst av samma eller i huvudsak likartat slag, som efter undertecknandet av avtalet påförs vid sidan av eller i stället för de för närvarande utgående skatterna. De behöriga myndigheterna i de avtalsslutande staterna skall meddela varandra de väsentliga ändringar som gjorts i respektive skattelagstiftning.

Artikel 3

Allmänna definitioner

1. Om inte sammanhanget föranleder annat, har vid tillämpningen av detta avtal följande uttryck nedan angiven betydelse:

a) "Malaysia" åsyftar Federationen Malaysias territorium, dess territorialvatten och territorialvattnets havsbotten och underlag, och innefattar områden utanför Malaysias territorialvatten, samt sådant områdes havsbotten och underlag, som är eller kommer enligt malaysisk lag och i enlighet med folkrättens regler att bli ett område över vilket Malaysia utövar suveräna rättigheter att utforska och exploatera naturtillgångar, levande eller icke levande,

b) "Sverige" åsyftar Konungariket Sverige och innefattar, när uttrycket används i geografisk betydelse, Sveriges territorium, Sveriges territorialvatten och andra havsområden över vilka Sverige, i överensstämmelse med folkrättens regler, utövar suveräna rättigheter eller jurisdiktion,

c) "en avtalsslutande stat" och "den andra avtalsslutande staten" åsyftar Malaysia eller Sverige, beroende på sammanhanget,

d) "person" inbegriper fysisk person, bolag och annan sammanslutning,

e) "bolag" åsyftar juridisk person eller annan som vid beskattningen behandlas såsom juridisk person,

f) "företag i en avtalsslutande stat" och "företag i den andra avtalsslutande staten" åsyftar företag som bedrivs av person med hemvist i en avtalsslutande stat, respektive företag som bedrivs av person med hemvist i den andra avtalsslutande staten,

g) "medborgare" åsyftar:

1) fysisk person som har medborgarskap i en avtalsslutande stat,

2) juridisk person eller annan sammanslutning som bildats enligt den lagstiftning som gäller i en avtalsslutande stat,

h) "internationell trafik" åsyftar transport med skepp eller luftfartyg som används av företag i en avtalsslutande stat utom då skeppet eller luftfartyget används uteslutande mellan platser i den andra avtalsslutande staten,

i) "behörig myndighet" åsyftar:

1) i Malaysia: finansministern eller dennes befullmäktigade ombud, och

2) i Sverige: finansministern, dennes befullmäktigade ombud eller den myndighet åt vilken uppdras att vara behörig myndighet vid tillämpningen av detta avtal.

2. Då en avtalsslutande stat tillämpar avtalet vid någon tidpunkt anses, såvida inte sammanhanget föranleder annat, varje uttryck som inte definierats i avtalet, ha den betydelse som uttrycket har vid denna tidpunkt enligt den statens lagstiftning i fråga om sådana skatter på vilka avtalet tillämpas, och den betydelse som uttrycket har enligt tillämplig skattelagstiftning i denna stat äger företräde framför den betydelse uttrycket ges i annan lagstiftning i denna stat.

Artikel 4

Hemvist

1. Vid tillämpningen av detta avtal åsyftar uttrycket "person med hemvist i en avtalsslutande stat" person som enligt skattelagstiftningen i denna stat är skattskyldig där på grund av domicil, bosättning, plats för företagsledning eller annan liknande omständighet och innefattar också denna stat, dess politiska underavdelningar, lokala myndigheter, offentligrättsliga och statliga organ. Uttrycket inbegriper handelsbolag och dödsbon endast till den del dess inkomst är skattepliktig i denna stat på samma sätt som inkomst som förvärvas av person med hemvist där, antingen hos handelsbolaget eller dödsboet eller hos dess delägare eller förmånstagare.

2. Då på grund av bestämmelserna i punkt 1 fysisk person har hemvist i båda avtalsslutande staterna, bestäms hans hemvist på följande sätt:

a) han anses ha hemvist endast i den stat där han har en bostad som stadigvarande står till hans förfogande; om han har en sådan bostad i båda staterna, anses han ha hemvist endast i den stat med vilken hans personliga och ekonomiska förbindelser är starkast (centrum för levnadsintressena),

b) om det inte kan avgöras i vilken stat han har centrum för sina levnadsintressen eller om han inte i någondera staten har en bostad som stadigvarande står till hans förfogande, anses han ha hemvist endast i den stat där han stadigvarande vistas,

c) om han stadigvarande vistas i båda staterna eller om han inte vistas stadigvarande i någon av dem, anses han ha hemvist endast i den stat där han är medborgare,

d) om han är medborgare i båda staterna eller om han inte är medborgare i någon av dem, avgör de behöriga myndigheterna i de avtalsslutande staterna frågan genom ömsesidig överenskommelse.

3. Då på grund av bestämmelserna i punkt 1 annan person än fysisk person har hemvist i båda avtalsslutande staterna, skall de behöriga myndigheterna söka avgöra frågan genom ömsesidig överenskommelse.

Artikel 5

Fast driftställe

1. Vid tillämpningen av detta avtal åsyftar uttrycket "fast driftställe" en stadigvarande plats för affärsverksamhet, från vilken ett företags verksamhet helt eller delvis bedrivs.

2. Uttrycket "fast driftställe" innefattar särskilt:

a) plats för företagsledning,

b) filial,

c) kontor,

d) fabrik,

e) verkstad, och

f) gruva, olje- eller gaskälla, stenbrott eller annan plats för utvinning av naturtillgångar.

3. Plats för byggnads-, anläggnings-, installations- eller monteringsverksamhet utgör fast driftställe endast om verksamheten pågår mer än tolv månader.

4. Utan hinder av föregående bestämmelser i denna artikel anses uttrycket "fast driftställe" inte innefatta:

a) användningen av anordningar uteslutande för lagring, utställning eller utlämnande av företaget tillhöriga varor,

b) innehavet av ett företaget tillhörigt varulager uteslutande för lagring, utställning eller utlämnande,

c) innehavet av ett företaget tillhörigt varulager uteslutande för bearbetning eller förädling genom annat företags försorg,

d) innehavet av stadigvarande plats för affärsverksamhet uteslutande för inköp av varor eller inhämtande av upplysningar för företaget,

e) innehavet av stadigvarande plats för affärsverksamhet uteslutande för att för företaget bedriva annan verksamhet av förberedande eller biträdande art,

f) innehavet av stadigvarande plats för affärsverksamhet uteslutande för att kombinera verksamheter som anges i punkterna a)-e), under förutsättning att hela den verksamhet som bedrivs från den stadigvarande platsen för affärsverksamhet på grund av denna kombination är av förberedande eller biträdande art.

5. Ett företag i en avtalsslutande stat anses ha ett fast driftställe i den andra avtalsslutande staten om företaget bedriver verksamhet som består av övervakning i den andra staten under en tidsperiod som överstiger sex månader i anslutning till plats för byggnads-, anläggnings-, installations- eller monteringsverksamhet i den andra staten.

6. Om en person, som inte är sådan oberoende representant på vilken punkt 7 tillämpas, är verksam i en avtalsslutande stat för ett företag i den andra avtalsslutande staten, anses detta företag - utan hinder av bestämmelserna i punkterna 1 och 2 - ha fast driftställe i den förstnämnda staten i fråga om varje verksamhet som denna person bedriver för företaget, om personen:

a) har och där regelmässigt använder fullmakt att sluta avtal i företagets namn, om inte den verksamhet som denna person bedriver är begränsad till sådan som anges i punkt 4 och som, om den bedrevs från en stadigvarande plats för affärsverksamhet, inte skulle göra denna stadigvarande plats för affärsverksamhet till fast driftställe enligt bestämmelserna i nämnda punkt, eller

b) innehar ett företaget tillhörigt varulager i den förstnämnda staten från vilket han regelmässigt tar emot och expedierar beställningar för företaget.

7. Företag i en avtalsslutande stat anses inte ha fast driftställe i den andra avtalsslutande staten endast på den grund att företaget bedriver affärsverksamhet i denna andra stat genom förmedling av mäklare, kommissionär eller annan oberoende representant, under förutsättning att sådan person därvid bedriver sin sedvanliga affärsverksamhet.

8. Den omständigheten att ett bolag med hemvist i en avtalsslutande stat kontrollerar eller kontrolleras av ett bolag med hemvist i den andra avtalsslutande staten eller ett bolag som bedriver affärsverksamhet i denna andra stat (antingen från fast driftställe eller på annat sätt), medför inte i och för sig att någotdera bolaget utgör fast driftställe för det andra.

Artikel 6

Inkomst av fast egendom

1. Inkomst, som person med hemvist i en avtalsslutande stat förvärvar av fast egendom (däri inbegripet inkomst av lantbruk eller skogsbruk) belägen i den andra avtalsslutande staten, får beskattas i denna andra stat.

2. a) Uttrycket "fast egendom" har den betydelse som uttrycket har enligt lagstiftningen i den avtalsslutande stat där egendomen är belägen, om inte bestämmelserna i b) och c) nedan föranleder annat.

b) Uttrycket "fast egendom" inbegriper dock alltid byggnader, tillbehör till fast egendom, levande och döda inventarier i lantbruk och skogsbruk, rättigheter på vilka bestämmelserna i privaträtten om fast egendom tillämpas, nyttjanderätt till fast egendom samt rätt till föränderliga eller fasta ersättningar för nyttjandet av eller rätten att nyttja mineralförekomst, källa eller annan naturtillgång.

c) Skepp, båtar och luftfartyg anses inte vara fast egendom.

3. Bestämmelserna i punkt 1 tillämpas på inkomst som förvärvas genom omedelbart brukande, genom uthyrning eller annan användning av fast egendom.

4. Bestämmelserna i punkterna 1 och 3 tillämpas även på inkomst av fast egendom som tillhör företag och på inkomst av fast egendom som används vid självständig yrkesutövning.

Artikel 7

Inkomst av rörelse

1. Inkomst av rörelse, som företag i en avtalsslutande stat förvärvar, beskattas endast i denna stat, såvida inte företaget bedriver rörelse i den andra avtalsslutande staten från där beläget fast driftställe. Om företaget bedriver rörelse på nyss angivet sätt, får företagets inkomst beskattas i den andra staten, men endast så stor del av den som är hänförlig till det fasta driftstället.

2. Om företag i en avtalsslutande stat bedriver rörelse i den andra avtalsslutande staten från där beläget fast driftställe, hänförs, om inte bestämmelserna i punkt 3 föranleder annat, i vardera avtalsslutande staten till det fasta driftstället den inkomst som det kan antas att driftstället skulle ha förvärvat, om det varit ett fristående företag som bedrivit verksamhet av samma eller liknande slag under samma eller liknande villkor och självständigt avslutat affärer med det företag till vilket driftstället hör.

3. Vid bestämmandet av fast driftställes inkomst medges avdrag för utgifter, härunder inbegripna utgifter för företagets ledning och allmänna förvaltning, vilka skulle ha varit avdragsgilla om det fasta driftstället varit ett oberoende företag, i den mån utgifterna rätteligen har hänförts till det fasta driftstället, oavsett om utgifterna uppkommit i den stat där det fasta driftstället är beläget eller annorstädes.

4. Om den information som finns tillgänglig inte är tillräcklig för att bestämma vilka inkomster som är hänförliga till ett företags fasta driftställe, skall bestämmelserna i denna artikel inte hindra en stat att, med tillämpning av intern lagstiftning, skönsmässigt bestämma en persons skattskyldighet med användning av information som finns tillgänglig och i enlighet med bestämmelserna i denna artikel.

5. Inkomst hänförs inte till fast driftställe endast av den anledningen att varor inköps genom det fasta driftställets försorg för företaget.

6. Vid tillämpningen av föregående punkter bestäms inkomst som är hänförlig till det fasta driftstället genom samma förfarande år från år, såvida inte goda och tillräckliga skäl föranleder annat.

7. Ingår i inkomst av rörelse inkomst som behandlas särskilt i andra artiklar av detta avtal, berörs bestämmelserna i dessa artiklar inte av reglerna i denna artikel.

Artikel 8

Sjöfart och luftfart

1. Inkomst som förvärvas av företag i en avtalsslutande stat genom användningen av skepp eller luftfartyg i internationell trafik beskattas endast i den staten.

2. Bestämmelserna i punkt 1 tillämpas även på inkomst som förvärvas genom deltagande i en pool, ett gemensamt företag eller en internationell driftsorganisation.

Artikel 9

Företag med intressegemenskap

1. I fall då

a) ett företag i en avtalsslutande stat direkt eller indirekt deltar i ledningen eller kontrollen av ett företag i den andra avtalsslutande staten eller äger del i detta företags kapital, eller

b) samma personer direkt eller indirekt deltar i ledningen eller kontrollen av såväl ett företag i en avtalsslutande stat som ett företag i den andra avtalsslutande staten eller äger del i båda dessa företags kapital, iakttas följande.

Om mellan företagen i fråga om handelsförbindelser eller finansiella förbindelser avtalas eller föreskrivs villkor, som avviker från dem som skulle ha avtalats mellan av varandra oberoende företag, får all inkomst, som utan sådana villkor skulle ha tillkommit det ena företaget men som på grund av villkoren i fråga inte tillkommit detta företag, inräknas i detta företags inkomst och beskattas i överensstämmelse därmed.

2. I fall då en avtalsslutande stat i inkomsten för ett företag i denna stat inräknar - och i överensstämmelse därmed beskattar - inkomst, för vilken ett företag i den andra avtalsslutande staten beskattats i denna andra stat, samt den sålunda inräknade inkomsten är sådan som skulle ha tillkommit företaget i den förstnämnda staten om de villkor som avtalats mellan företagen hade varit sådana som skulle ha avtalats mellan av varandra oberoende företag, skall denna andra stat genomföra vederbörlig justering av det skattebelopp som påförts för inkomsten där om denna andra stat finner justeringen motiverad.

Vid sådan justering iakttas övriga bestämmelser i detta avtal och de behöriga myndigheterna i de avtalsslutande staterna överlägger vid behov med varandra.

Artikel 10

Utdelning

1. Utdelning från bolag med hemvist i en avtalsslutande stat till person med hemvist i den andra avtalsslutande staten, får beskattas i denna andra stat.

2. Utdelning som betalas av ett bolag med hemvist i Sverige till en person med hemvist i Malaysia får även beskattas i Sverige i enlighet med svensk lagstiftning, men om mottagaren har rätt till utdelningen får skatten inte överstiga 15 procent av utdelningens bruttobelopp. Om den som har rätt till utdelningen är ett bolag (med undantag för handelsbolag) som direkt innehar minst 10 procent av det utbetalande bolagets sammanlagda röstvärde är utdelningen undantagen från beskattning i Sverige.

3. Utdelning som betalas av ett bolag med hemvist i Malaysia till en person med hemvist i Sverige, som har rätt till utdelningen, är undantagen från varje skatt som skulle kunna tas ut på utdelning i Malaysia utöver den skatt som tas ut på bolagets inkomst eller vinst.

4. Bestämmelserna i punkterna 2 och 3 berör inte bolagets beskattning för den vinst av vilken utdelningen betalas.

5. Med uttrycket "utdelning" förstås i denna artikel inkomst av aktier eller andra rättigheter, som inte är fordringar, med rätt till andel i vinst, samt inkomst av andra andelar i bolag, som enligt lagstiftningen i den stat där det utdelande bolaget har hemvist vid beskattningen behandlas på samma sätt som inkomst av aktier.

6. Bestämmelserna i punkterna 1, 2 och 3 tillämpas inte, om den som har rätt till utdelningen har hemvist i en avtalsslutande stat och bedriver rörelse i den andra avtalsslutande staten, där det bolag som betalar utdelningen har hemvist, från där beläget fast driftställe eller utövar självständig yrkesverksamhet i denna andra stat från där belägen stadigvarande anordning, samt den andel på grund av vilken utdelningen betalas äger verkligt samband med det fasta driftstället eller den stadigvarande anordningen. I sådant fall tillämpas bestämmelserna i artikel 7 respektive artikel 15.

7. Om bolag med hemvist i en avtalsslutande stat förvärvar inkomst från den andra avtalsslutande staten, får denna andra stat inte beskatta utdelning som bolaget betalar, utom i den mån utdelningen betalas till person med hemvist i denna andra stat eller i den mån den andel på grund av vilken utdelningen betalas äger verkligt samband med fast driftställe eller stadigvarande anordning i denna andra stat, och ej heller på bolagets icke utdelade vinst ta ut en skatt som utgår på bolagets icke utdelade vinst, även om utdelningen eller den icke utdelade vinsten helt eller delvis utgörs av inkomst som uppkommit i denna andra stat.

Artikel 11

Ränta

1. Ränta, som härrör från en avtalsslutande stat och som betalas till person med hemvist i den andra avtalsslutande staten, får beskattas i denna andra stat.

2. Räntan får emellertid beskattas även i den avtalsslutande stat från vilken den härrör, enligt lagstiftningen i denna stat, men om den som har rätt till räntan har hemvist i den andra avtalsslutande staten får skatten inte överstiga 10 procent av räntans bruttobelopp.

3. Utan hinder av bestämmelserna i punkt 2 skall en avtalsslutande stats regering vara befriad från skatt i den andra avtalsslutande staten i fråga om ränta som regeringen erhåller och som härrör från denna andra stat.

4. Vid tillämpning av punkt 3, avses med uttrycket "regering":

a) i Malaysia, regeringen i Malaysia och innefattar:

1) delstaternas regeringar,

2) Bank Negara Malaysia,

3) lokala myndigheter,

4) offentligrättsliga organ, och

5) Export-Import Bank of Malaysia Berhad (EXIM Bank),

b) i Sverige, regeringen i Sverige och innefattar:

1) Riksbanken,

2) politiska underavdelningar,

3) lokala myndigheter,

4) offentligrättsliga organ,

5) AB Svensk Exportkredit (SEK), i den utsträckning lånet har garanterats av svenska staten, och

6) Styrelsen för Internationellt Utvecklingssamarbete (SIDA).

5. Med uttrycket "ränta" förstås i denna artikel inkomst av varje slags fordran, antingen den säkerställts genom inteckning i fast egendom eller inte och antingen den medför rätt till andel i gäldenärens vinst eller inte. Uttrycket åsyftar särskilt inkomst av värdepapper som utfärdats av staten och inkomst av obligationer eller debentures, däri inbegripet agiobelopp och vinster som hänför sig till sådana värdepapper, obligationer eller debentures. Straffavgift på grund av sen betalning anses inte som ränta vid tillämpningen av denna artikel.

6. Bestämmelserna i punkterna 1, 2 och 3 tillämpas inte, om den som har rätt till räntan har hemvist i en avtalsslutande stat och bedriver rörelse i den andra avtalsslutande staten, från vilken räntan härrör, från där beläget fast driftställe eller utövar självständig yrkesverksamhet i denna andra stat från där belägen stadigvarande anordning, samt den fordran för vilken räntan betalas äger verkligt samband med det fasta driftstället eller den stadigvarande anordningen. I sådant fall tillämpas bestämmelserna i artikel 7 respektive artikel 15.

7. Ränta anses härröra från en avtalsslutande stat om utbetalaren är en person med hemvist i denna stat. Om emellertid den person som betalar räntan, antingen han har hemvist i en avtalsslutande stat eller inte, i en avtalsslutande stat har fast driftställe eller stadigvarande anordning i samband varmed den skuld uppkommit på vilken räntan betalas, och räntan belastar det fasta driftstället eller den stadigvarande anordningen, anses räntan härröra från den stat där det fasta driftstället eller den stadigvarande anordningen finns.

8. Då på grund av särskilda förbindelser mellan utbetalaren och den som har rätt till räntan eller mellan dem båda och annan person räntebeloppet, med hänsyn till den fordran för vilken räntan betalas, överstiger det belopp som skulle ha avtalats mellan utbetalaren och den som har rätt till räntan om sådana förbindelser inte förelegat, tillämpas bestämmelserna i denna artikel endast på sistnämnda belopp. I sådant fall beskattas överskjutande belopp enligt lagstiftningen i vardera avtalsslutande staten med iakttagande av övriga bestämmelser i detta avtal.

Artikel 12

Royalty

1. Royalty, som härrör från en avtalsslutande stat och som betalas till person med hemvist i den andra avtalsslutande staten, får beskattas i denna andra stat.

2. Royaltyn får emellertid beskattas även i den avtalsslutande stat från vilken den härrör, enligt lagstiftningen i denna stat, men om den som har rätt till royaltyn har hemvist i den andra avtalsslutande staten får skatten inte överstiga 8 procent av royaltyns bruttobelopp.

3. Med uttrycket "royalty" förstås i denna artikel varje slags betalning som tas emot såsom ersättning för nyttjandet av eller för rätten att nyttja upphovsrätt till litterärt, konstnärligt eller vetenskapligt verk, häri inbegripet biograffilm och film eller band för radio- eller televisionsutsändning, patent, varumärke, mönster eller modell, ritning, hemligt recept eller hemlig tillverkningsmetod eller för nyttjandet av, eller för rätten att nyttja, industriell, kommersiell eller vetenskaplig utrustning eller för upplysning (know-how) om erfarenhetsrön av industriell, kommersiell eller vetenskaplig natur.

4. Bestämmelserna i punkterna 1 och 2 tillämpas inte, om den som har rätt till royaltyn har hemvist i en avtalsslutande stat och bedriver rörelse i den andra avtalsslutande staten, från vilken royaltyn härrör, från där beläget fast driftställe eller utövar självständig yrkesverksamhet i denna andra stat från där belägen stadigvarande anordning, samt den rättighet eller egendom i fråga om vilken royaltyn betalas äger verkligt samband med det fasta driftstället eller den stadigvarande anordningen. I sådant fall tillämpas bestämmelserna i artikel 7 respektive artikel 15.

5. Royalty anses härröra från en avtalsslutande stat om utbetalaren är en person med hemvist i denna stat. Om emellertid den person som betalar royaltyn, antingen han har hemvist i en avtalsslutande stat eller inte, i en avtalsslutande stat har fast driftställe eller stadigvarande anordning i samband varmed skyldigheten att betala royaltyn uppkommit, och royaltyn belastar det fasta driftstället eller den stadigvarande anordningen, anses royaltyn härröra från den stat där det fasta driftstället eller den stadigvarande anordningen finns.

6. Då på grund av särskilda förbindelser mellan utbetalaren och den som har rätt till royaltyn eller mellan dem båda och annan person royaltybeloppet, med hänsyn till det nyttjande, den rättighet eller den upplysning för vilken royaltyn betalas, överstiger det belopp som skulle ha avtalats mellan utbetalaren och den som har rätt till royaltyn om sådana förbindelser inte förelegat, tillämpas bestämmelserna i denna artikel endast på sistnämnda belopp. I sådant fall beskattas överskjutande belopp enligt lagstiftningen i vardera avtalsslutande staten med iakttagande av övriga bestämmelser i detta avtal.

Artikel 13

Ersättning för tekniska tjänster

1. Ersättning för tekniska tjänster, som härrör från en avtalsslutande stat och som betalas till person med hemvist i den andra avtalsslutande staten, får beskattas i denna andra stat.

2. Ersättningen för tekniska tjänster får emellertid beskattas även i den avtalsslutande stat från vilken den härrör, enligt lagstiftningen i denna stat, men om den som har rätt till ersättningen för tekniska tjänster har hemvist i den andra avtalsslutande staten får skatten inte överstiga 8 procent av ersättningens bruttobelopp.

3. Med uttrycket "ersättning för tekniska tjänster" förstås i denna artikel varje slags betalning till en person, om den inte sker till en anställd hos personen som gör utbetalningen, för tjänster av teknisk eller företagsledande art eller för konsulttjänster.

4. Bestämmelserna i punkterna 1 och 2 tillämpas inte, om den som har rätt till ersättningen för tekniska tjänster har hemvist i en avtalsslutande stat och bedriver rörelse i den andra avtalsslutande staten, från vilken ersättningen för tekniska tjänster härrör, från där beläget fast driftställe eller utövar självständig yrkesverksamhet i denna andra stat från där belägen stadigvarande anordning, samt ersättningen för tekniska tjänster äger verkligt samband med det fasta driftstället eller den stadigvarande anordningen. I sådant fall tillämpas bestämmelserna i artikel 7 respektive artikel 15.

5. Ersättning för tekniska tjänster anses härröra från en avtalsslutande stat om utbetalaren är en person med hemvist i denna stat. Om emellertid den person som betalar ersättningen för tekniska tjänster, antingen han har hemvist i en avtalsslutande stat eller inte, i en avtalsslutande stat har fast driftställe eller stadigvarande anordning i samband varmed skyldigheten att betala ersättningen för tekniska tjänster uppkommit, och ersättningen för tekniska tjänster belastar det fasta driftstället eller den stadigvarande anordningen, anses ersättningen för tekniska tjänster härröra från den stat där det fasta driftstället eller den stadigvarande anordningen finns.

6. Då på grund av särskilda förbindelser mellan utbetalaren och den som har rätt till ersättningen för tekniska tjänster eller mellan dem båda och annan person ersättningsbeloppet, med hänsyn till de tjänster för vilken ersättningen för tekniska tjänster betalas, överstiger det belopp som skulle ha avtalats mellan utbetalaren och den som har rätt till ersättningen om sådana förbindelser inte förelegat, tillämpas bestämmelserna i denna artikel endast på sistnämnda belopp. I sådant fall beskattas överskjutande belopp enligt lagstiftningen i vardera avtalsslutande staten med iakttagande av övriga bestämmelser i detta avtal.

Artikel 14

Realisationsvinst

1. Vinst, som person med hemvist i en avtalsslutande stat förvärvar på grund av överlåtelse av sådan fast egendom som avses i artikel 6 och som är belägen i den andra avtalsslutande staten, eller på grund av överlåtelse av aktier i ett bolag vars huvudsakliga tillgångar består av sådan egendom, får beskattas i denna andra stat.

2. Vinst på grund av överlåtelse av lös egendom, som utgör del av rörelsetillgångarna i fast driftställe, vilket ett företag i en avtalsslutande stat har i den andra avtalsslutande staten, eller av lös egendom, hänförlig till stadigvarande anordning för att utöva självständig yrkesverksamhet, som person med hemvist i en avtalsslutande stat har i den andra avtalsslutande staten, får beskattas i denna andra stat. Detsamma gäller vinst på grund av överlåtelse av sådant fast driftställe (för sig eller tillsammans med hela företaget) eller av sådan stadigvarande anordning.

3. Vinst som person med hemvist i en avtalsslutande stat förvärvar på grund av överlåtelse av skepp eller luftfartyg som används i internationell trafik, eller lös egendom som är hänförlig till användningen av sådana skepp eller luftfartyg, beskattas endast i den staten.

4. Vinst på grund av överlåtelse av annan egendom än sådan som avses i punkterna 1, 2 och 3 beskattas endast i den avtalsslutande stat där överlåtaren har hemvist.

5. Vinst på grund av överlåtelse av egendom, som förvärvas av en fysisk person som har haft hemvist i en avtalsslutande stat och fått hemvist i den andra avtalsslutande staten får - utan hinder av bestämmelserna i punkt 4 - beskattas i den förstnämnda avtalsslutande staten om överlåtelsen av egendomen inträffar vid något tillfälle som infaller under de tio år som följer närmast efter det att personen upphört att ha hemvist i den förstnämnda staten.

Artikel 15

Självständig yrkesutövning

1. Inkomst, som person med hemvist i en avtalsslutande stat förvärvar genom att utöva fritt yrke eller annan självständig verksamhet, beskattas endast i denna stat. Inkomsten får dock beskattas i den andra avtalsslutande staten om:

a) han i den andra avtalsslutande staten har en stadigvarande anordning som regelmässigt står till hans förfogande för att utöva verksamheten, men endast så stor del av inkomsten som är hänförlig till den stadigvarande anordningen får beskattas i denna andra avtalsslutande stat, eller

b) han vistas i den andra avtalsslutande staten under tidsperiod eller tidsperioder som sammanlagt uppgår till eller överstiger 183 dagar under en tolvmånadersperiod som börjar eller slutar under kalenderåret i fråga, men endast så stor del av inkomsten som är hänförlig till den verksamhet som bedrivs i denna andra stat får beskattas i denna andra stat.

2. Uttrycket "fritt yrke" inbegriper särskilt självständig vetenskaplig, litterär och konstnärlig verksamhet, uppfostrings- och undervisningsverksamhet samt sådan självständig verksamhet som läkare, advokat, ingenjör, arkitekt, tandläkare och revisor utövar.

Artikel 16

Enskild tjänst

1. Om inte bestämmelserna i artiklarna 17, 19, 20 och 21 föranleder annat, beskattas lön och annan liknande ersättning, som person med hemvist i en avtalsslutande stat uppbär på grund av anställning, endast i denna stat, såvida inte arbetet utförs i den andra avtalsslutande staten. Om arbetet utförs i denna andra stat, får ersättning som uppbärs för arbetet beskattas där.

2. Utan hinder av bestämmelserna i punkt 1 beskattas ersättning, som person med hemvist i en avtalsslutande stat uppbär för arbete som utförs i den andra avtalsslutande staten, endast i den förstnämnda staten, om:

a) mottagaren vistas i den andra avtalsslutande staten under tidsperiod eller tidsperioder som sammanlagt inte överstiger 183 dagar under en tolvmånadersperiod som börjar eller slutar under kalenderåret i fråga, och

b) ersättningen betalas av arbetsgivare som inte har hemvist i den andra staten eller på dennes vägnar, samt

c) ersättningen inte belastar fast driftställe eller stadigvarande anordning som arbetsgivaren har i den andra staten.

3. Utan hinder av föregående bestämmelser i denna artikel får ersättning för arbete, som utförs ombord på skepp eller luftfartyg i internationell trafik av ett företag i en avtalsslutande stat, beskattas i denna stat.

Artikel 17

Styrelsearvode

Styrelsearvode och annan liknande ersättning, som person med hemvist i en avtalsslutande stat uppbär i egenskap av medlem i styrelse eller annat liknande organ i bolag med hemvist i den andra avtalsslutande staten, får beskattas i denna andra stat.

Artikel 18

Artister och sportutövare

1. Utan hinder av bestämmelserna i artiklarna 15 och 16 får inkomst, som person med hemvist i en avtalsslutande stat förvärvar genom sin personliga verksamhet i den andra avtalsslutande staten i egenskap av artist, såsom teater- eller filmskådespelare, radio- eller televisionsartist eller musiker, eller i egenskap av sportutövare, beskattas i denna andra stat.

2. I fall då inkomst genom personlig verksamhet, som artist eller sportutövare bedriver i denna egenskap, inte tillfaller artisten eller sportutövaren själv utan annan person, får denna inkomst, utan hinder av bestämmelserna i artiklarna 7, 15 och 16, beskattas i den avtalsslutande stat där artisten eller sportutövaren bedriver verksamheten.

3. Bestämmelserna i punkterna 1 och 2 tillämpas inte på ersättning eller inkomst som förvärvas på grund av verksamhet utövad i en avtalsslutande stat om besöket i den staten, direkt eller indirekt, finansierats, helt eller nästan helt, av offentliga medel från den andra avtalsslutande staten, en av dess politiska underavdelningar, lokala myndigheter eller offentligrättsliga organ.

Artikel 19

Pensioner, livräntor och liknande betalningar

1. Pension och annan liknande ersättning, utbetalning enligt socialförsäkringslagstiftningen och livränta, som härrör från en avtalsslutande stat och betalas till person med hemvist i den andra avtalsslutande staten, får beskattas i den förstnämnda avtalsslutande staten.

2. Med uttrycket "livränta" förstås ett fastställt belopp, som utbetalas periodiskt på fastställda tider under en persons livstid eller under angiven eller fastställbar tidsperiod och som utgår på grund av förpliktelse att verkställa dessa utbetalningar som ersättning för däremot fullt svarande vederlag i pengar eller pengars värde.

Artikel 20

Offentlig tjänst

1. a) Lön och annan liknande ersättning (med undantag för pension), som betalas av en avtalsslutande stat, en av dess politiska underavdelningar, lokala myndigheter eller offentligrättsliga organ till fysisk person på grund av arbete som utförts i denna stats, dess politiska underavdelningars, lokala myndigheters eller offentligrättsliga organs tjänst, beskattas endast i denna stat.

b) Sådan lön och annan liknande ersättning beskattas emellertid endast i den andra avtalsslutande staten om arbetet utförs i denna andra stat och personen i fråga har hemvist i denna andra stat och

1) är medborgare i denna andra stat, eller

2) inte fick hemvist i denna andra stat uteslutande för att utföra arbetet.

2. Bestämmelserna i artiklarna 16 och 17 tillämpas på lön och annan liknande ersättning som betalas på grund av arbete som utförts i samband med rörelse som bedrivs av en avtalsslutande stat, en av dess politiska underavdelningar, lokala myndigheter eller offentligrättsliga organ.

Artikel 21

Studerande och affärspraktikanter

En fysisk person som har hemvist i en avtalsslutande stat omedelbart före en vistelse i den andra avtalsslutande staten och som vistas tillfälligt i den andra staten uteslutande i egenskap av

a) studerande vid ett erkänt universitet, skola eller annan liknande erkänd utbildningsinstitution i den andra staten,

b) affärs- eller yrkespraktikant, eller

c) mottagare av stipendium, underhåll avsett att täcka specifika utgifter eller premie för det huvudsakliga syftet att studera, forska eller praktisera och som erhållits från regeringen i någon av staterna eller från en vetenskaplig eller religiös organisation eller en utbildnings- eller välgörenhetsorganisation eller enligt ett tekniskt biståndsprogram som ingåtts av regeringen i en av staterna, skall vara undantagen från beskattning i den andra staten såvitt avser

1) ersättning från utlandet som avser att täcka kostnader för hans uppehälle, utbildning, studier, forskning eller praktik,

2) tidigare angivet stipendium, underhåll avsett att täcka specifika utgifter eller premie, och

3) ersättning för utfört arbete i den andra staten som inte överstiger 2 500 US dollar per kalenderår om arbetet utförts i samband med studier, forskning eller praktik eller är nödvändigt för hans försörjning. Det nämnda beloppet skall innefatta grundavdrag för kalenderåret i fråga.

Artikel 22

Annan inkomst

Inkomst som person med hemvist i en avtalsslutande stat förvärvar och som inte uttryckligen behandlas i föregående artiklar av detta avtal beskattas endast i denna avtalsslutande stat. Om sådan inkomst härrör från den andra avtalsslutande staten får den emellertid även beskattas i denna andra stat.

Artikel 23

Undanröjande av dubbelbeskattning

1. I fråga om Malaysia skall dubbelbeskattning undvikas på följande sätt:

Med beaktande av den malaysiska lagstiftning som tillåter att skatt som betalats i ett annat land än Malaysia avräknas mot malaysisk skatt, skall person med hemvist i Malaysia som erhållit inkomst som härrör från Sverige medges avräkning för den svenska skatt som erlagts enligt svensk lagstiftning och i enlighet med bestämmelserna i detta avtal från den malaysiska skatt som betalats på inkomsten. När sådan inkomst utgör utdelning som utbetalats av ett bolag med hemvist i Sverige till ett bolag med hemvist i Malaysia som äger minst 10 procent av röstetalet för aktierna i det utdelande bolaget, skall vid avräkning hänsyn tas till den svenska skatt som det utdelande bolaget erlagt för inkomst av vilken utdelningen betalats.

Avräkningen skall emellertid inte överstiga den del av den malaysiska skatten, beräknad före avräkning, som är hänförlig till sådan inkomst.

2. I fråga om Sverige skall dubbelbeskattning undvikas på följande sätt:

a) Om person med hemvist i Sverige förvärvar inkomst som enligt malaysisk lagstiftning och i enlighet med bestämmelserna i detta avtal får beskattas i Malaysia skall Sverige - med beaktande av bestämmelserna i svensk lagstiftning beträffande avräkning av utländsk skatt (även i den lydelse de framdeles kan få genom att ändras utan att den allmänna princip som anges här ändras) - från den svenska skatten på inkomsten avräkna ett belopp motsvarande den malaysiska skatt som erlagts på inkomsten.

b) Om person med hemvist i Sverige förvärvar inkomst, som enligt bestämmelserna i detta avtal beskattas endast i Malaysia, får Sverige - vid bestämmandet av svensk progressiv skatt - beakta sådan inkomst som beskattas endast i Malaysia.

c) Utan hinder av bestämmelserna i a) i denna punkt är utdelning från bolag med hemvist i Malaysia till bolag med hemvist i Sverige undantagen från svensk skatt enligt bestämmelserna i svensk lag om skattebefrielse för utdelning som erhålls av svenska bolag från bolag utomlands.

d) Om ett svenskt bolag har ett fast driftställe i Malaysia skall vid tillämpningen av a) i denna punkt uttrycket "den malaysiska skatt som erlagts" anses innefatta den malaysiska skatt på sådant fast driftställes inkomst som skulle ha erlagts men som inte erlagts eller erlagts med lägre belopp på grund av tidsbegränsade bestämmelser om stimulansåtgärder i den lagstiftning i Malaysia som är avsedd att främja ekonomisk utveckling i den mån sådan skattebefrielse eller skattereduktion beviljas för vinst från industriell verksamhet eller tillverkningsverksamhet eller från jordbruk, skogsbruk, fiske eller turistnäring (däri inbegripna restauranger och hotell), under förutsättning att verksamheterna utövats i Malaysia. Vid tillämpningen av c) i denna punkt skall en skatt på 15 procent på ett svenskt beskattningsunderlag ansetts ha erlagts för sådana verksamheter och under de förutsättningar som anges i föregående mening även om den skatt som faktiskt erlagts i Malaysia är lägre än 15 procent.

e) Bestämmelserna i d) skall tillämpas endast under de första tio åren som detta avtal tillämpas. Denna tidsperiod kan utsträckas genom ömsesidig överenskommelse mellan de behöriga myndigheterna.

Artikel 24

Förbud mot diskriminering

1. Medborgare i en avtalsslutande stat skall inte i den andra avtalsslutande staten bli föremål för beskattning eller därmed sammanhängande krav som är av annat slag eller mer tyngande än den beskattning och därmed sammanhängande krav som medborgare i denna andra stat under samma förhållanden är eller kan bli underkastad. Utan hinder av bestämmelserna i artikel 1 tillämpas denna bestämmelse även på person som inte har hemvist i en avtalsslutande stat eller i båda avtalsslutande staterna.

2. Beskattningen av fast driftställe, som företag i en avtalsslutande stat har i den andra avtalsslutande staten, skall i denna andra stat inte vara mindre fördelaktig än beskattningen av företag i denna andra stat, som bedriver verksamhet av samma slag.

3. Utom i de fall då bestämmelserna i artikel 9 punkt 1, artikel 11 punkt 8, artikel 12 punkt 6 eller artikel 13 punkt 6 tillämpas, är ränta, royalty, ersättning för tekniska tjänster och annan betalning från företag i en avtalsslutande stat till person med hemvist i den andra avtalsslutande staten avdragsgilla vid bestämmandet av den beskattningsbara inkomsten för sådant företag på samma villkor som betalning till person med hemvist i den förstnämnda staten. Detta gäller emellertid inte om en avtalsslutande stats interna lagstiftning föreskriver att skatt skall innehållas vid källan och denna skyldighet inte fullgjorts.

4. Företag i en avtalsslutande stat, vars kapital helt eller delvis ägs eller kontrolleras, direkt eller indirekt, av en eller flera personer med hemvist i den andra avtalsslutande staten, skall inte i den förstnämnda staten bli föremål för beskattning eller därmed sammanhängande krav som är av annat slag eller mer tyngande än den beskattning och därmed sammanhängande krav som annat liknande företag i den förstnämnda staten är eller kan bli underkastat.

5. Denna artikel medför inte skyldighet för

a) en avtalsslutande stat att medge fysisk person med hemvist i den andra avtalsslutande staten sådant personligt avdrag vid beskattningen, sådan skattebefrielse eller skattenedsättning på grund av civilstånd eller försörjningsplikt mot familj som medges person med hemvist i den egna staten,

b) Malaysia att medge svenska medborgare som inte har hemvist i Malaysia, de personliga avdrag vid beskattningen, skattebefrielse eller skattenedsättning som vid tidpunkten för undertecknandet av detta avtal enligt lag är tillgängliga endast för malaysiska medborgare som inte har hemvist i Malaysia.

6. Med uttrycket "beskattning" avses i denna artikel de skatter på vilka avtalet är tillämpligt.

Artikel 25

Förfarandet vid ömsesidig överenskommelse

1. Om en person anser att en avtalsslutande stat eller båda avtalsslutande staterna vidtagit åtgärder som för honom medför eller kommer att medföra beskattning som strider mot bestämmelserna i detta avtal, kan han, utan att detta påverkar hans rätt att använda sig av de rättsmedel som finns i dessa staters interna rättsordning, lägga fram saken för den behöriga myndigheten i den avtalsslutande stat där han har hemvist, eller, om fråga är om tillämpning av artikel 24 punkt 1, i den avtalsslutande stat där han är medborgare. Saken skall läggas fram inom tre år från den tidpunkt då personen i fråga fick vetskap om den åtgärd som givit upphov till beskattning som strider mot bestämmelserna i avtalet.

2. Om den behöriga myndigheten finner invändningen grundad men inte själv kan få till stånd en tillfredsställande lösning, skall myndigheten söka avgöra saken genom ömsesidig överenskommelse med den behöriga myndigheten i den andra avtalsslutande staten i syfte att undvika beskattning som strider mot avtalet. Överenskommelse som träffats genomförs utan hinder av tidsgränser i de avtalsslutande staternas interna lagstiftning.

3. De behöriga myndigheterna i de avtalsslutande staterna skall genom ömsesidig överenskommelse söka avgöra svårigheter eller tvivelsmål som uppkommer i fråga om tolkningen eller tillämpningen av avtalet. De kan även överlägga i syfte att undanröja dubbelbeskattning i fall som inte omfattas av avtalet.

4. De behöriga myndigheterna i de avtalsslutande staterna kan träda i direkt förbindelse med varandra i syfte att träffa överenskommelse i den mening som avses i föregående punkter.

Artikel 26

Utbyte av upplysningar

1. De behöriga myndigheterna i de avtalsslutande staterna skall utbyta sådana upplysningar som är nödvändiga för att tillämpa bestämmelserna i detta avtal eller i de avtalsslutande staternas interna lagstiftning i fråga om skatter som omfattas av avtalet, i den mån beskattningen enligt denna lagstiftning inte strider mot avtalet. Utbytet av upplysningar begränsas inte av artikel 1. Upplysningar som en avtalsslutande stat mottagit skall behandlas såsom hemliga på samma sätt som upplysningar, som erhållits enligt den interna lagstiftningen i denna stat och får yppas endast för personer eller myndigheter (däri inbegripet domstolar och förvaltningsorgan) som fastställer, uppbär eller indriver de skatter som omfattas av avtalet eller handlägger åtal eller överklaganden i fråga om dessa skatter. Dessa personer eller myndigheter skall använda upplysningarna endast för sådana ändamål. De får yppa upplysningarna vid offentlig rättegång eller i domstolsavgöranden.

2. Bestämmelserna i punkt 1 anses inte medföra skyldighet för en avtalsslutande stat att

a) vidta förvaltningsåtgärder som avviker från lagstiftning eller administrativ praxis i denna avtalsslutande stat eller i den andra avtalsslutande staten,

b) lämna upplysningar som inte är tillgängliga enligt lagstiftning eller sedvanlig administrativ praxis i denna avtalsslutande stat eller i den andra avtalsslutande staten,

c) lämna upplysningar som skulle röja affärshemlighet, industri-, handels- eller yrkeshemlighet eller i näringsverksamhet nyttjat förfaringssätt eller upplysningar, vilkas överlämnande skulle strida mot allmänna hänsyn (ordre public).

Artikel 27

Begränsning av förmåner

1. Om inkomst på grund av bestämmelse i detta avtal inte fullt ut kan beskattas i en avtalsslutande stat och, enligt gällande lagstiftning i den andra avtalsslutande staten, en person, vad gäller denna inkomst, beskattas för den del av inkomsten som överförs eller tas emot i denna andra stat och inte för inkomstens hela belopp, skall sådan begränsning av beskattningsrätten i den förstnämnda avtalsslutande staten endast gälla för den del av inkomsten som överförs till eller tas emot i denna andra avtalsslutande stat.

2. Bestämmelser i detta avtal som medger befrielse från eller nedsättning av skatt skall inte tillämpas på personer som är berättigade till någon skatteförmån enligt:

a) lagstiftning i någon av staterna som anges i noter som utväxlas mellan staterna, eller

b) någon i huvudsak likartad skattelagstiftning.

Artikel 28

Medlemmar av diplomatisk beskickning och konsulat

Bestämmelserna i detta avtal berör inte de privilegier vid beskattningen som enligt folkrättens allmänna regler eller bestämmelser i särskilda överenskommelser tillkommer medlemmar av diplomatisk beskickning eller konsulat.

Artikel 29

Ikraftträdande

1. De avtalsslutande staterna skall meddela varandra när de åtgärder vidtagits som krävs enligt lagstiftningen i staten i fråga för att detta avtal skall träda i kraft.

2. Avtalet träder i kraft den trettionde dagen efter den dag då den sista av dessa underrättelser tas emot och tillämpas:

a) i Malaysia:

1) beträffande annan malaysisk skatt än inkomstskatten på petroleum, på skatt som påförs för taxeringsår som börjar den 1 januari kalenderåret närmast efter det år då avtalet träder i kraft eller senare,

2) beträffande inkomstskatten på petroleum, på skatt som påförs för taxeringsår som börjar den 1 januari det andra kalenderåret som följer efter det år då avtalet träder i kraft eller senare,

b) i Sverige:

1) beträffande skatt som innehålls vid källan, på inkomst som förvärvas den 1 januari kalenderåret närmast efter det år då avtalet träder i kraft eller senare,

2) beträffande andra skatter på inkomst, på skatter som påförs för beskattningsår som börjar den 1 januari kalenderåret närmast efter det år då avtalet träder i kraft eller senare.

3. Avtalet mellan Malaysias regering och Konungariket Sveriges regering för undvikande av dubbelbeskattning och förhindrande av skatteflykt beträffande inkomstskatter, undertecknat i Kuala Lumpur den 21 november 1970, skall upphöra att gälla och dess bestämmelser skall inte längre tillämpas från de datum som detta avtal skall tillämpas enligt bestämmelserna i punkt 2 av denna artikel.

Artikel 30

Upphörande

Detta avtal förblir i kraft tills vidare. Vardera avtalsslutande staten kan på diplomatisk väg skriftligen säga upp avtalet genom underrättelse till den andra avtalsslutande staten härom senast den 30 juni under något kalenderår som följer efter en tidsperiod av fem år från den dag då avtalet träder i kraft. I händelse av sådan uppsägning upphör avtalet att tillämpas

a) i Malaysia:

1) beträffande annan malaysisk skatt än inkomstskatten på petroleum, på skatt som påförs för taxeringsår som börjar den 1 januari kalenderåret närmast efter det år då uppsägningen sker eller senare,

2) beträffande inkomstskatten på petroleum, på skatt som påförs för taxeringsår som börjar den 1 januari det andra kalenderåret som följer efter det år då uppsägningen sker eller senare,

b) i Sverige:

1) beträffande skatt som innehålls vid källan, på inkomst som förvärvas den 1 januari kalenderåret närmast efter det år då uppsägningen sker eller senare,

2) beträffande andra skatter på inkomst, på skatter som påförs för beskattningsår som börjar den 1 januari kalenderåret närmast efter det år då uppsägningen sker eller senare.

Till bekräftelse härav har undertecknade, därtill vederbörligen bemyndigade, undertecknat detta avtal.

Som skedde i Stockholm den 12 mars 2002 i två exemplar på malaysiska, svenska och engelska språken vilka äger lika vitsord. För den händelse att tvist uppstår om tolkningen eller tillämpningen av avtalet skall den engelska texten äga företräde.

PROTOKOLL

1. Vid undertecknandet av avtalet mellan Konungariket Sveriges regering och Malaysias regering för undvikande av dubbelbeskattning och förhindrande av skatteflykt beträffande skatter på inkomst har de två regeringarna kommit överens om att följande bestämmelser skall utgöra en integrerande del av avtalet.

2. Det är överenskommet att:

a) bestämmelserna i artikel 8 punkt 1 tillämpas på inkomst som förvärvas av luftfartskonsortiet Scandinavian Airlines System (SAS) men endast i fråga om den del av inkomsten som motsvarar den andel i konsortiet som innehas av SAS Sverige AB, den svenske delägaren i SAS,

b) bestämmelserna i artikel 14 punkt 3 tillämpas i fråga om vinst som förvärvas av luftfartskonsortiet Scandinavian Airlines System (SAS) men endast i fråga om den del av vinsten som motsvarar den andel i konsortiet som innehas av SAS Sverige AB, den svenske delägaren i SAS, och

c) vid tillämpning av bestämmelserna i artikel 16 punkt 3, skall inkomst som person med hemvist i Sverige uppbär för arbete, vilket utförs ombord på ett luftfartyg som används i internationell trafik av luftfartskonsortiet Scandinavian Airlines System (SAS), beskattas endast i Sverige.

Till bekräftelse härav har undertecknade, därtill vederbörligen bemyndigade, undertecknat detta protokoll.

I have the honour to refer to the Agreement between the Government of the Kingdom of Sweden and the Government of Malaysia for the avoidance of double taxation and the prevention of fiscal evasion with respect to taxes on income which has been signed today and to propose on behalf of the Government of the Kingdom of Sweden that with reference to paragraph 2 of Article 27:

The provisions of this Agreement shall not apply to persons carrying on offshore business activity under the Labuan Offshore Business Activity Tax Act 1990 (as amended).

"Offshore business activity" means an offshore business activity as defined under Section 2(1) of the Labuan Offshore Business Activity Tax Act 1990 (as amended).

If the foregoing proposal is acceptable to the Government of Malaysia, I have the honour to suggest that the present Note and Your Excellency's reply to that effect should be regarded as constituting an agreement that shall form an integral part of the Agreement for the avoidance of double taxation in this matter, which shall enter into force at the same time as the entry into force of this Agreement.

Agreement between the Government of the Kingdom of Sweden and the Government of Malaysia for the avoidance of double taxation and the prevention of fiscal evasion with respect to taxes on income

The Government of the Kingdom of Sweden and the Government of Malaysia, desiring to conclude an Agreement for the avoidance of double taxation and the prevention of fiscal evasion with respect to taxes on income, have agreed as follows:

Article 1

Persons covered

This Agreement shall apply to persons who are residents of one or both of the Contracting States.

Article 2

Taxes covered

1. The existing taxes which are the subject of this Agreement are:

(a) in Malaysia:

(i) the income tax; and

(ii) the petroleum income tax;

(hereinafter referred to as "Malaysian tax");

(b) in Sweden:

(i) the national income tax (den statliga inkomstskatten);

(ii) the withholding tax on dividends (kupongskatten);

(iii) the income tax on non-residents (den särskilda inkomstskatten för utomlands bosatta);

(iv) the income tax on non-residents artistes and athletes (den särskilda inkomstskatten för utomlands bosatta artister m.fl.); and

(v) the municipal income tax (den kommunala inkomstskatten);

(hereinafter referred to as "Swedish tax").

2. This Agreement shall apply also to any identical or substantially similar taxes on income which are imposed after the date of signature of this Agreement in addition to, or in place of, the existing taxes. The competent authorities of the Contracting States shall notify each other of important changes which have been made in their respective taxation laws.

Article 3

General definitions

1. For the purposes of this Agreement, unless the context otherwise requires:

(a) the term "Malaysia" means the territories of the Federation of Malaysia, the territorial waters of Malaysia and the sea-bed and subsoil of the territorial waters, and includes any area extending beyond the limits of the territorial waters of Malaysia, and the sea-bed and subsoil of any such area, which has been or may hereafter be designated under the laws of Malaysia and in accordance with international law as an area over which Malaysia has sovereign rights for the purposes of exploring and exploiting the natural resources, whether living or non-living;

(b) the term "Sweden" means the Kingdom of Sweden and, when used in a geographical sense, includes the national territory, the territorial sea of Sweden as well as other maritime areas over which Sweden in accordance with international law exercises sovereign rights or jurisdiction;

(c) the terms "a Contracting State" and "the other Contracting State" mean Malaysia or Sweden as the context requires;

(d) the term "person" includes an individual, a company and any other body of persons;

(e) the term "company" means any body corporate or any entity which is treated as a body corporate for tax purposes;

(f) the terms "enterprise of a Contracting State" and "enterprise of the other Contracting State" mean respectively an enterprise carried on by a resident of a Contracting State and an enterprise carried on by a resident of the other Contracting State;

(g) the term "national" means:

(i) any individual possessing the citizenship of a Contracting State;

(ii) any legal person, partnership or association deriving its status as such from the laws in force in a Contracting State;

(h) the term "international traffic" means any transport by a ship or aircraft operated by an enterprise of a Contracting State, except when the ship or aircraft is operated solely between places in the other Contracting State;

(i) the term "competent authority" means:

(i) in the case of Malaysia, the Minister of Finance or his authorised representative; and

(ii) in the case of Sweden, the Minister of Finance, his authorised representative or the authority which is designated as a competent authority for the purpose of this Agreement.

2. As regards the application of this Agreement at any time by a Contracting State, any term not defined therein shall, unless the context otherwise requires, have the meaning that it has at that time under the law of that State for the purposes of the taxes to which this Agreement applies, any meaning under the applicable tax laws of that State prevailing over a meaning given to the term under other laws of that State.

Article 4

Resident

1. For the purposes of this Agreement, the term "resident of a Contracting State" means any person who, under the tax laws of that State, is liable to tax therein by reason of his domicile, residence, place of management or any other criterion of a similar nature, and also includes that State and a political subdivision, a local authority and any statutory body or governmental agency thereof. However, in the case of a partnership or estate the term applies only to the extent that the income derived by such partnership or estate is subject to tax in that State as the income of a resident, either in its hands or in the hands of its partners or beneficiaries.

2. Where by reason of the provisions of paragraph 1 an individual is a resident of both Contracting States, then his status shall be determined as follows:

(a) he shall be deemed to be a resident only of the State in which he has a permanent home available to him; if he has a permanent home available to him in both States, he shall be deemed to be a resident only of the State with which his personal and economic relations are closer (centre of vital interests);

(b) if the State in which he has his centre of vital interests cannot be determined, or if he has not a permanent home available to him in either State, he shall be deemed to be a resident only of the State in which he has an habitual abode;

(c) if he has an habitual abode in both States or in neither of them, he shall be deemed to be a resident only of the State of which he is a national;

(d) if he is a national of both States or of neither of them, the competent authorities of the Contracting States shall settle the question by mutual agreement.

3. Where by reason of the provisions of paragraph 1 a person other than an individual is a resident of both Contracting States, the competent authorities of the Contracting States shall endeavour to settle the question by mutual agreement.

Article 5

Permanent establishment

1. For the purposes of this Agreement, the term "permanent establishment" means a fixed place of business through which the business of an enterprise is wholly or partly carried on.

2. The term "permanent establishment" includes especially:

(a) a place of management;

(b) a branch;

(c) an office;

(d) a factory;

(e) a workshop; and

(f) a mine, an oil or gas well, a quarry or any other place of extraction of natural resources.

3. A building site or construction, installation or assembly project constitutes a permanent establishment only if it lasts more than 12 months.

4. Notwithstanding the preceding provisions of this Article, the term "permanent establishment" shall be deemed not to include:

(a) the use of facilities solely for the purpose of storage, display or delivery of goods or merchandise belonging to the enterprise;

(b) the maintenance of a stock of goods or merchandise belonging to the enterprise solely for the purpose of storage, display or delivery;

(c) the maintenance of a stock of goods or merchandise belonging to the enterprise solely for the purpose of processing by another enterprise;

(d) the maintenance of a fixed place of business solely for the purpose of purchasing goods or merchandise, or of collecting information, for the enterprise;

(e) the maintenance of a fixed place of business solely for the purpose of carrying on, for the enterprise, any other activity of a preparatory or auxiliary character;

(f) the maintenance of a fixed place of business solely for any combination of activities mentioned in sub-paragraphs (a) to (e), provided that the overall activity of the fixed place of business resulting from this combination is of a preparatory or auxiliary character.

5. An enterprise of a Contracting State shall be deemed to have a permanent establishment in the other Contracting State if it carries on supervisory activities in that other State for more than six months in connection with a building site or a construction, installation or assembly project which is being undertaken in that other State.

6. Notwithstanding the provisions of paragraphs 1 and 2, where a person - other than an agent of an independent status to whom paragraph 7 applies - is acting in a Contracting State on behalf of an enterprise of the other Contracting State, that enterprise shall be deemed to have a permanent establishment in the first-mentioned Contracting State in respect of any activities which that person undertakes for the enterprise, if such a person:

(a) has and habitually exercises in that State an authority to conclude contracts in the name of the enterprise, unless the activities of such a person are limited to those mentioned in paragraph 4 which, if exercised through a fixed place of business, would not make this fixed place of business a permanent establishment under the provisions of that paragraph; or

(b) maintains in the first-mentioned State a stock of goods or merchandise belonging to the enterprise from which he regularly receives and fills orders on behalf of the enterprise.

7. An enterprise of a Contracting State shall not be deemed to have a permanent establishment in the other Contracting State merely because it carries on business in that other State through a broker, general commission agent or any other agent of an independent status, provided that such persons are acting in the ordinary course of their business.

8. The fact that a company which is a resident of a Contracting State controls or is controlled by a company which is a resident of the other Contracting State, or which carries on business in that other State (whether through a permanent establishment or otherwise), shall not of itself constitute either company a permanent establishment of the other.

Article 6

Income from immovable property

1. Income derived by a resident of a Contracting State from immovable property (including income from agriculture or forestry) situated in the other Contracting State may be taxed in that other State.

2. (a) The term "immovable property" shall, subject to the provisions of subparagraphs (b) and (c), have the meaning which it has under the law of the Contracting State in which the property in question is situated.

(b) The term "immovable property" shall in any case include buildings, property accessory to immovable property, livestock and equipment used in agriculture and forestry, rights to which the provisions of general law respecting landed property apply, usufruct of immovable property and rights to variable or fixed payments as consideration for the working of, or the right to work, mineral deposits, sources and other natural resources.

(c) Ships, boats and aircraft shall not be regarded as immovable property.

3. The provisions of paragraph 1 shall apply to income derived from the direct use, letting, or use in any other form of immovable property.

4. The provisions of paragraphs 1 and 3 shall also apply to the income from immovable property of an enterprise and to income from immovable property used for the performance of independent personal services.

Article 7

Business profits

1. The profits of an enterprise of a Contracting State shall be taxable only in that State unless the enterprise carries on business in the other Contracting State through a permanent establishment situated therein. If the enterprise carries on business as aforesaid, the profits of the enterprise may be taxed in the other State but only so much of them as is attributable to that permanent establishment.

2. Subject to the provisions of paragraph 3, where an enterprise of a Contracting State carries on business in the other Contracting State through a permanent establishment situated therein, there shall in each Contracting State be attributed to that permanent establishment the profits which it might be expected to make if it were a distinct and separate enterprise engaged in the same or similar activities under the same or similar conditions and dealing wholly independently with the enterprise of which it is a permanent establishment.

3. In determining the profits of a permanent establishment, there shall be allowed as deductions expenses including executive and general administrative expenses, which would be deductible if the permanent establishment were an independent enterprise, insofar as they are reasonably allocable to the permanent establishment, whether incurred in the State in which the permanent establishment is situated or elsewhere.

4. If the information available is inadequate to determine the profits to be attributed to a permanent establishment of an enterprise, nothing in this Article shall affect the application of any law of that State relating to the determination of the tax liability of a person by the exercise of a discretion or the making of an estimate, provided that the law shall be applied, so far as the information available permits, in accordance with the principles of this Article.

5. No profits shall be attributed to a permanent establishment by reason of the mere purchase by that permanent establishment of goods or merchandise for the enterprise.

6. For the purposes of the preceding paragraphs, the profits to be attributed to the permanent establishment shall be determined by the same method year by year unless there is good and sufficient reason to the contrary.

7. Where profits include items of income which are dealt with separately in other Articles of this Agreement, then the provisions of those Articles shall not be affected by the provisions of this Article.

Article 8

Shipping and air transport

1. Profits of an enterprise of a Contracting State from the operation of ships or aircraft in international traffic shall be taxable only in that State.

2. The provisions of paragraph 1 shall also apply to the profits from the participation in a pool, a joint business or an international operating agency.

Article 9

Associated enterprises

1. Where -

(a) an enterprise of a Contracting State participates directly or indirectly in the management, control or capital of an enterprise of the other Contracting State, or

(b) the same persons participate directly or indirectly in the management, control or capital of an enterprise of a Contracting State and an enterprise of the other Contracting State,

and in either case conditions are made or imposed between the two enterprises in their commercial or financial relations which differ from those which would be made between independent enterprises, then any profits which would, but for those conditions, have accrued to one of the enterprises, but, by reason of those conditions, have not so accrued, may be included in the profits of that enterprise and taxed accordingly.

2. Where a Contracting State includes in the profits of an enterprise of that State - and taxes accordingly - profits on which an enterprise of the other Contracting State has been charged to tax in that other State and the profits so included are profits which would have accrued to the enterprise of the first-mentioned State if the conditions made between the two enterprises had been those which would have been made between independent enterprises, then that other State shall make an appropriate adjustment to the amount of the tax charged therein on those profits where that other State considers the adjustment justified. In determining such adjustment, due regard shall be had to the other provisions of this Agreement and the competent authorities of the Contracting States shall if necessary consult each other.

Article 10

Dividends

1. Dividends paid by a company which is a resident of a Contracting State to a resident of the other Contracting State may be taxed in that other State.

2. Dividends paid by a company which is a resident of Sweden to a resident of Malaysia may also be taxed in Sweden according to Swedish laws, but if the recipient is the beneficial owner of the dividends the tax so charged shall not exceed 15 per cent of the gross amount of the dividends. Where, however, the beneficial owner of the dividends is a company (other than a partnership) which holds directly at least 10 per cent of the voting power of the company paying the dividends, the dividends shall be exempt from tax in Sweden.

3. Dividends paid by a company which is a resident of Malaysia to a resident of Sweden who is the beneficial owner thereof shall be exempt from any tax in Malaysia which is chargeable on dividends in addition to the tax chargeable in respect of income or profits of the company.

4. The provisions of paragraphs 2 and 3 shall not affect the taxation of the company in respect of the profits out of which the dividends are paid.

5. The term "dividends" as used in this Article means income from shares or other rights, not being debt-claims, participating in profits, as well as income from other corporate rights which is subjected to the same taxation treatment as income from shares by the laws of the State of which the company making the distribution is a resident.

6. The provisions of paragraphs 1, 2 and 3 shall not apply if the beneficial owner of the dividends, being a resident of a Contracting State, carries on business in the other Contracting State, of which the company paying the dividends is a resident, through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the holding in respect of which the dividends are paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 or Article 15, as the case may be, shall apply.

7. Where a company which is a resident of a Contracting State derives income or profits from the other Contracting State, that other State may not impose any tax on the dividends paid by the company, except insofar as such dividends are paid to a resident of that other State or insofar as the holding in respect of which the dividends are paid is effectively connected with a permanent establishment or a fixed base situated in that other State, nor subject the company's undistributed profits to a tax on the company's undistributed profits, even if the dividends paid or the undistributed profits consist wholly or partly of income or profits arising in such other State.

Article 11

Interest

1. Interest arising in a Contracting State and paid to a resident of the other Contracting State may be taxed in that other State.

2. However, such interest may also be taxed in the Contracting State in which it arises and according to the laws of that State, but if the beneficial owner of the interest is a resident of the other Contracting State, the tax so charged shall not exceed 10 per cent of the gross amount of the interest.

3. Notwithstanding the provisions of paragraph 2, the Government of a Contracting State shall be exempt from tax in the other Contracting State in respect of interest derived by the Government from that other State.

4. For the purposes of paragraph 3, the term "Government":

(a) in the case of Malaysia means the Government of Malaysia and shall include:

(i) the governments of the states;

(ii) the Bank Negara Malaysia;

(iii) the local authorities;

(iv) the statutory bodies; and

(v) the Export-Import Bank of Malaysia Berhad (EXIM Bank);

(b) in the case of Sweden means the Government of Sweden and shall include:

(i) the Central Bank of Sweden;

(ii) the political subdivisions;

(iii) the local authorities;

(iv) the statutory bodies;

(v) the Swedish Export Credit Corporation (SEK), to the extent that the loan is guaranteed by the Government of Sweden; and

(vi) the Swedish International Development Authority (SIDA).

5. The term "interest" as used in this Article means income from debt-claims of every kind, whether or not secured by mortgage and whether or not carrying a right to participate in the debtor's profits, and in particular, income from government securities and income from bonds or debentures, including premiums and prizes attaching to such securities, bonds or debentures. Penalty charges for late payment shall not be regarded as interest for the purpose of this Article.

6. The provisions of paragraphs 1, 2 and 3 shall not apply if the beneficial owner of the interest, being a resident of a Contracting State, carries on business in the other Contracting State in which the interest arises, through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the debt-claim in respect of which the interest is paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 or Article 15, as the case may be, shall apply.

7. Interest shall be deemed to arise in a Contracting State when the payer is a resident of that State. Where, however, the person paying the interest, whether he is a resident of a Contracting State or not, has in a Contracting State a permanent establishment or a fixed base in connection with which the indebtedness on which the interest is paid was incurred, and such interest is borne by such permanent establishment or fixed base, then such interest shall be deemed to arise in the State in which the permanent establishment or fixed base is situated.

8. Where, by reason of a special relationship between the payer and the beneficial owner or between both of them and some other person, the amount of the interest, having regard to the debt- claim for which it is paid, exceeds the amount which would have been agreed upon by the payer and the beneficial owner in the absence of such relationship, the provisions of this Article shall apply only to the last-mentioned amount. In such case, the excess part of the payments shall remain taxable according to the laws of each Contracting State, due regard being had to the other provisions of this Agreement.

Article 12

Royalties

1. Royalties arising in a Contracting State and paid to a resident of the other Contracting State may be taxed in that other State.

2. However, such royalties may also be taxed in the Contracting State in which they arise, and according to the laws of that State, but if the beneficial owner of the royalties is a resident of the other Contracting State, the tax so charged shall not exceed 8 per cent of the gross amount of the royalties.

3. The term "royalties" as used in this Article means payments of any kind received as a consideration for the use of, or the right to use, any copyright of literary, artistic or scientific work (including cinematograph films, and films or tapes for radio or television broadcasting), any patent, trade mark, design or model, plan, secret formula or process, or for the use of, or the right to use, industrial, commercial or scientific equipment, or for information (know-how) concerning industrial, commercial or scientific experience.

4. The provisions of paragraphs 1 and 2 shall not apply if the beneficial owner of the royalties, being a resident of a Contracting State, carries on business in the other Contracting State in which the royalties arise, through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the right or property in respect of which the royalties are paid is effectively connected with such permanent establishment or fixed base. In such a case the provisions of Article 7 or Article 15, as the case may be, shall apply.

5. Royalties shall be deemed to arise in a Contracting State when the payer is a resident of that State. Where, however, the person paying such royalties, whether he is a resident of a Contracting State or not, has in a Contracting State a permanent establishment or a fixed base in connection with which the liability to pay the royalties was incurred, and such royalties are borne by such permanent establishment or fixed base, then such royalties shall be deemed to arise in the State in which the permanent establishment or fixed base is situated.

6. Where, by reason of a special relationship between the payer and the beneficial owner or between both of them and some other person, the amount of the royalties, having regard to the use, right or information for which they are paid, exceeds the amount which would have been agreed upon by the payer and the beneficial owner in the absence of such relationship, the provisions of this Article shall apply only to the last- mentioned amount. In such case, the excess part of the payments shall remain taxable according to the laws of each Contracting State, due regard being had to the other provisions of this Agreement.

Article 13

Fees for technical services

1. Fees for technical services arising in a Contracting State and paid to a resident of the other Contracting State may be taxed in that other State.

2. However, such fees for technical services may also be taxed in the Contracting State in which they arise and according to the laws of that State, but where the beneficial owner of the fees for technical services is a resident of the other Contracting State the tax so charged shall not exceed 8 per cent of the gross amount of the fees for technical services.

3. The term "fees for technical services" as used in this Article means payments of any kind to any person, other than to an employee of the person making the payments, in consideration for any services of a technical, managerial or consultancy nature.

4. The provisions of paragraphs 1 and 2 shall not apply if the beneficial owner of the fees for technical services, being a resident of a Contracting State, carries on business in the other Contracting State in which the fees for technical services arise through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the fees for technical services are effectively connected with such permanent establishment or fixed base. In such a case the provisions of Article 7 or Article 15, as the case may be, shall apply.

5. Fees for technical services shall be deemed to arise in a Contracting State when the payer is a resident of that State.

Where, however, the person paying the fees for technical services, whether he is a resident of a Contracting State or not, has in a Contracting State a permanent establishment or a fixed base in connection with which the liability to pay the fees for technical services was incurred, and such fees for technical services are borne by such permanent establishment or fixed base, then such fees for technical services shall be deemed to arise in the Contracting State in which the permanent establishment or fixed base is situated.

6. Where, by reason of a special relationship between the payer and the beneficial owner or between both of them and some other person, the amount of the fees for technical services having regard to the services for which they are paid, exceeds the amount which would have been agreed upon by the payer and the beneficial owner in the absence of such relationship, the provisions of this Article shall apply only to the last- mentioned amount. In such case, the excess part of the payments shall remain taxable according to the law of each Contracting State, due regard being had to the other provisions of this Agreement.

Article 14

Capital gains

1. Gains derived by a resident of a Contracting State from the alienation of immovable property referred to in Article 6 and situated in the other Contracting State, or from the alienation of shares in a company the assets of which consist principally of such property, may be taxed in that other State.

2. Gains from the alienation of movable property forming part of the business property of a permanent establishment which an enterprise of a Contracting State has in the other Contracting State or of movable property pertaining to a fixed base available to a resident of a Contracting State in the other Contracting State for the purpose of performing independent personal services, including such gains from the alienation of such a permanent establishment (alone or with the whole enterprise) or of such fixed base, may be taxed in that other State.

3. Gains derived by a resident of a Contracting State from the alienation of ships or aircraft operated in international traffic or movable property pertaining to the operation of such ships or aircraft, shall be taxable only in that State.

4. Gains from the alienation of any property other than that referred to in paragraphs 1, 2 and 3, shall be taxable only in the Contracting State of which the alienator is a resident.

5. Notwithstanding the provisions of paragraph 4, gains from the alienation of any property derived by an individual who has been a resident of a Contracting State and who has become a resident of the other Contracting State, may be taxed in the first-mentioned State if the alienation of the property occurs at any time during the ten years next following the date on which the individual has ceased to be a resident of the first- mentioned State.

Article 15

Independent personal services

1. Income derived by a resident of a Contracting State in respect of professional services or other activities of an independent character shall be taxable only in that State except in the following circumstances, when such income may also be taxed in the other Contracting State:

(a) if he has a fixed base regularly available to him in the other Contracting State for the purpose of performing his activities; in that case, only so much of the income as is attributable to that fixed base may be taxed in that other Contracting State; or

(b) if his stay in the other Contracting State is for a period or periods amounting to or exceeding in the aggregate 183 days in any twelve month period commencing or ending in the calendar year concerned; in that case, only so much of the income as is derived from his activities performed in that other State may be taxed in that other State.

2. The term "professional services" includes especially independent scientific, literary, artistic, educational or teaching activities as well as the independent activities of physicians, lawyers, engineers, architects, dentists and accountants.

Article 16

Dependent personal services

1. Subject to the provisions of Articles 17, 19, 20 and 21, salaries, wages and other similar remuneration derived by a resident of a Contracting State in respect of an employment shall be taxable only in that State unless the employment is exercised in the other Contracting State. If the employment is so exercised, such remuneration as is derived therefrom may be taxed in that other State.

2. Notwithstanding the provisions of paragraph 1, remuneration derived by a resident of a Contracting State in respect of an employment exercised in the other Contracting State shall be taxable only in the first-mentioned State if:

(a) the recipient is present in the other Contracting State for a period or periods not exceeding in the aggregate 183 days in any twelve month period commencing or ending in the calendar year concerned; and

(b) the remuneration is paid by, or on behalf of, an employer who is not a resident of the other State; and

(c) the remuneration is not borne by a permanent establishment or a fixed base which the employer has in the other State.

3. Notwithstanding the preceding provisions of this Article, remuneration derived in respect of an employment exercised aboard a ship or aircraft operated in international traffic by an enterprise of a Contracting State may be taxed in that State.

Article 17

Directors' fees

Directors' fees and other similar payments derived by a resident of a Contracting State in his capacity as a member of the board of directors of a company which is a resident of the other Contracting State, may be taxed in that other State.

Article 18

Artistes and sportsmen

1. Notwithstanding the provisions of Articles 15 and 16, income derived by a resident of a Contracting State as an artiste, such as a theatre, motion picture, radio or television artiste, or a musician, or as a sportsman, from his personal activities as such exercised in the other Contracting State, may be taxed in that other State.

2. Where income in respect of personal activities exercised by an artiste or a sportsman in his capacity as such accrues not to the artiste or sportsman himself but to another person, that income may, notwithstanding the provisions of Articles 7, 15 and 16, be taxed in the Contracting State in which the activities of the artiste or sportsman are exercised.

3. The provisions of paragraphs 1 and 2 shall not apply to remuneration or profits derived from activities exercised in a Contracting State if the visit to that State is directly or indirectly supported wholly or almost wholly from the public funds of the other Contracting State, a political subdivision, a local authority or a statutory body thereof.

Article 19

Pensions, annuities and similar payments

1. Pensions and other similar remuneration, disbursement under the Social Security legislation and annuities arising in a Contracting State and paid to a resident of the other Contracting State may be taxed in the first-mentioned Contracting State.

2. The term "annuity" means a stated sum payable periodically at stated times during life or during a specified or ascertainable period of time under an obligation to make the payments in return for adequate and full consideration in money or money's worth.

Article 20

Government service

1. (a) Salaries, wages and other similar remuneration, other than a pension, paid by a Contracting State or a political subdivision or a local authority or a statutory body thereof to an individual in respect of services rendered to that State or political subdivision or local authority or statutory body thereof shall be taxable only in that State.

(b) However, such salaries, wages and other similar remuneration, shall be taxable only in the other Contracting State if the services are rendered in that other State and the individual is a resident of that other State who:

(i) is a national of that other State, or

(ii) did not become a resident of that other State solely for the purpose of rendering the services.

2. The provisions of Articles 16 and 17 shall apply to salaries, wages and other similar remuneration in respect of services rendered in connection with a business carried on by a Contracting State or a political subdivision or a local authority or a statutory body thereof.

Article 21

Students and trainees

An individual who is a resident of a Contracting State immediately before making a visit to the other Contracting State and is temporarily present in the other State solely:

(a) as a student at a recognised university, college, school or other similar recognised educational institution in that other State;

(b) as a business or technical apprentice; or

(c) as a recipient of a grant, allowances to compensate for specific expenses or award for the primary purpose of study, research or training from the Government of either State or from a scientific, educational, religious or charitable organisation or under a technical assistance programme entered into by the Government of either State, shall be exempt from tax in that other State on:

(i) all remittances from abroad for the purposes of his maintenance, education, study, research or training;

(ii) the amount of such grant, allowances to compensate for specific expenses or award; and

(iii) any remuneration not exceeding 2,500 US dollars per annum in respect of services in that other State provided the services are performed in connection with his study, research or training or are necessary for the purposes of his maintenance. The amount stated above shall include the personal allowance for the calendar year in question.

Article 22

Other income

Items of income of a resident of a Contracting State which are not expressly mentioned in the foregoing Articles of this Agreement shall be taxable only in that Contracting State except that if such income is derived from sources in the other Contracting State, it may also be taxed in that other State.

Article 23

Elimination of double taxation

1. In the case of Malaysia, double taxation shall be avoided as follows:

Subject to the laws of Malaysia regarding the allowance as a credit against Malaysian tax of tax payable in any country other than Malaysia, the Swedish tax payable under the laws of Sweden and in accordance with this Agreement by a resident of Malaysia in respect of income derived from Sweden shall be allowed as a credit against Malaysian tax payable in respect of that income. Where such income is a dividend paid by a company which is a resident of Sweden to a company which is a resident of Malaysia and which owns not less than 10 per cent of the voting shares of the company paying the dividend, the credit shall take into account Swedish tax payable by that company in respect of its income out of which the dividend is paid. The credit shall not, however, exceed that part of the Malaysian tax, as computed before the credit is given, which is appropriate to such item of income.

2. In the case of Sweden, double taxation shall be avoided as follows:

(a) Where a resident of Sweden derives income which under the laws of Malaysia and in accordance with the provisions of this Agreement may be taxed in Malaysia, Sweden shall allow - subject to the provisions of the laws of Sweden concerning credit for foreign tax (as it may be amended from time to time without changing the general principle hereof) - as a deduction from the tax on such income, an amount equal to the Malaysian tax paid in respect of such income.

(b) Where a resident of Sweden derives income which, in accordance with the provisions of this Agreement, shall be taxable only in Malaysia, Sweden may, when determining the graduated rate of Swedish tax, take into account the income which shall be taxable only in Malaysia.

(c) Notwithstanding the provisions of sub-paragraph (a) of this paragraph, dividends paid by a company which is a resident of Malaysia to a company which is a resident of Sweden shall be exempt from Swedish tax according to the provisions of Swedish law governing the exemption of tax on dividends paid to Swedish companies by companies abroad.

(d) For the purposes of sub-paragraph (a) of this paragraph, when a Swedish company has a permanent establishment in Malaysia, the term "Malaysian tax paid" shall be deemed to include the Malaysian tax on profits attributable to such permanent establishment which would have been paid but for any time-limited exemption or reduction of tax granted under incentive provisions contained in the laws of Malaysia designed to promote economic development to the extent that such exemption or reduction is granted for profits from industrial or manufacturing activities or from the agriculture, forestry, fishing or tourism sectors (including restaurants and hotels) provided that the activities have been carried out in Malaysia.

For the purposes of sub-paragraph (c) of this paragraph a tax of 15 per cent calculated on a Swedish tax base shall be considered to have been paid for such activities and under those conditions mentioned in the previous sentence even if the tax actually paid in Malaysia is less than 15 per cent.

(e) The provisions of sub-paragraph (d) shall apply only for the first ten years during which this Agreement is effective.

This period may be extended by a mutual agreement between the competent authorities.

Article 24

Non-discrimination

1. Nationals of a Contracting State shall not be subjected in the other Contracting State to any taxation or any requirement connected therewith which is other or more burdensome than the taxation and connected requirements to which nationals of that other State in the same circumstances are or may be subjected.

This provision shall, notwithstanding the provisions of Article 1, also apply to persons who are not residents of one or both of the Contracting States.

2. The taxation on a permanent establishment which an enterprise of a Contracting State has in the other Contracting State shall not be less favourably levied in that other State than the taxation levied on enterprises of that other State carrying on the same activities.

3. Except where the provisions of paragraph 1 of Article 9, paragraph 8 of Article 11, paragraph 6 of Article 12 and paragraph 6 of Article 13 apply, interest, royalties, fees for technical services and other disbursements paid by an enterprise of a Contracting State to a resident of the other Contracting State shall, for the purpose of determining the taxable profits of such enterprise, be deductible under the same conditions as if they had been paid to a resident of the first-mentioned State. When, however, the domestic laws of a Contracting State provide that a tax shall be withheld at source and this obligation has not been fulfilled the aforesaid requirements may be set aside.

4. Enterprises of a Contracting State, the capital of which is wholly or partly owned or controlled, directly or indirectly, by one or more residents of the other Contracting State, shall not be subjected in the first-mentioned State to any taxation or any requirement connected therewith which is other or more burdensome than the taxation and connected requirements to which other similar enterprises of that first-mentioned State are or may be subjected.

5. Nothing in this Article shall be construed as obliging:

(a) a Contracting State to grant to individuals who are resident of the other Contracting State any personal allowances, reliefs and reductions for tax purposes on account of civil status or family responsibilities which it grants to its own residents;

(b) Malaysia to grant to nationals of Sweden not resident in Malaysia those personal allowances, reliefs and reductions for tax purposes which are by law available on the date of signature of this Agreement only to nationals of Malaysia who are not resident in Malaysia.

6. In this Article, the term "taxation" means taxes to which this Agreement applies.

Article 25

Mutual agreement procedure

1. Where a person considers that the actions of one or both of the Contracting States result or will result for him in taxation not in accordance with the provisions of this Agreement, he may, irrespective of the remedies provided by the domestic law of those States, present his case to the competent authority of the Contracting State of which he is a resident or, if his case comes under paragraph 1 of Article 24, to that of the Contracting State of which he is a national. The case must be presented within three years from the first notification of the action resulting in taxation not in accordance with the provisions of this Agreement.

2. The competent authority shall endeavour, if the objection appears to it to be justified and if it is not itself able to arrive at a satisfactory solution, to resolve the case by mutual agreement with the competent authority of the other Contracting State, with a view to the avoidance of taxation which is not in accordance with this Agreement. Any agreement reached shall be implemented notwithstanding any time limits in the domestic law of the Contracting States.

3. The competent authorities of the Contracting States shall endeavour to resolve by mutual agreement any difficulties or doubts arising as to the interpretation or application of this Agreement. They may also consult together for the elimination of double taxation in cases not provided for in this Agreement.

4. The competent authorities of the Contracting States may communicate with each other directly for the purposes of reaching an agreement in the sense of the preceding paragraphs.

Article 26

Exchange of information

1. The competent authorities of the Contracting States shall exchange such information as is necessary for carrying out the provisions of this Agreement or of the domestic laws of the Contracting States concerning taxes covered by the Agreement insofar as the taxation thereunder is not contrary to the Agreement. The exchange of information is not restricted by Article 1. Any information received by a Contracting State shall be treated as secret in the same manner as information obtained under the domestic laws of that State and shall be disclosed only to persons or authorities (including courts and administrative bodies) concerned with the assessment or collection of, the enforcement or prosecution in respect of, or the determination of appeals in relation to, the taxes covered by the Agreement. Such persons or authorities shall use the information only for such purposes. They may disclose the information in public court proceedings or in judicial decisions.

2. In no case shall the provisions of paragraph 1 be construed so as to impose on a Contracting State the obligation:

(a) to carry out administrative measures at variance with the laws or the administrative practice of that or of the other Contracting State;

(b) to supply information which are not obtainable under the laws or in the normal course of the administration of that or of the other Contracting State;

(c) to supply information which would disclose any trade, business, industrial, commercial or professional secret or trade process, or information, the disclosure of which would be contrary to public policy.

Article 27

Limitation of relief

1. Where under any provision of this Agreement any income is relieved from tax in a Contracting State and, under the law in force in the other Contracting State a person, in respect of that income, is subject to tax by reference to the amount thereof which is remitted to or received in that other Contracting State and not by reference to the full amount thereof, then the relief to be allowed under this Agreement in the first-mentioned Contracting State shall apply only to so much of the income as is remitted to or received in that other Contracting State.

2. Any provision of this Agreement conferring an exemption or a reduction of tax shall not apply to persons entitled to any tax benefits under:

(a) a law of either one of the States which has been identified in an Exchange of Notes between the States; or

(b) any other substantially similar tax law.

Article 28

Members of diplomatic missions and consular posts

Nothing in this Agreement shall affect the fiscal privileges of members of diplomatic missions or consular posts under the general rules of international law or under the provisions of special agreements.

Article 29

Entry into force

1. Each of the Contracting States shall notify the other of the completion of the procedures required by its law for the entry into force of this Agreement.

2. The Agreement shall enter into force on the thirtieth day after the receipt of the later of these notifications and shall thereupon have effect

(a) in Malaysia:

(i) in respect of Malaysian tax, other than petroleum income tax, to tax chargeable for any year of assessment beginning on or after the first day of January in the calendar year following the year in which this Agreement enters into force;

(ii) in respect of petroleum income tax, to tax chargeable for any year of assessment beginning on or after the first day of January of the second calendar year following the year in which this Agreement enters into force;

(b) in Sweden:

(i) in respect of taxes withheld at source, to income derived on or after the first day of January in the calendar year following the year in which this Agreement enters into force;

(ii) in respect of other taxes on income, to taxes chargeable for any tax year beginning on or after the first day of January in the calendar year following the year in which this Agreement enters into force.

3. The Agreement between the Government of Malaysia and the Government of the Kingdom of Sweden for the avoidance of double taxation and the prevention of fiscal evasion with respect to taxes on income signed at Kuala Lumpur on November 21, 1970, shall terminate and cease to have effect from the dates upon which this Agreement has effect in accordance with the provisions of paragraph 2 of this Article.

Article 30

Termination

This Agreement shall remain in effect indefinitely, but either Contracting State may terminate the Agreement, through diplomatic channels, by giving to the other Contracting State written notice of termination on or before June 30th in any calendar year after the period of five years from the date on which this Agreement enters into force. In such an event this Agreement shall cease to have effect:

(a) in Malaysia:

(i) in respect of Malaysian tax, other than petroleum income tax, to tax chargeable for any year of assessment beginning on or after the first day of January in the calendar year following the year in which the notice is given;

(ii) in respect of petroleum income tax, to tax chargeable for any year of assessment beginning on or after the first day of January of the second calendar year following the year in which the notice is given;

(b) in Sweden:

(i) in respect of taxes withheld at source, to income derived on or after the first day of January in the calendar year following the year in which the notice is given;

(ii) in respect of other taxes on income, to taxes chargeable for any tax year beginning on or after the first day of January in the calendar year following the year in which the notice is given.

IN WITNESS whereof the undersigned, duly authorised thereto, by their respective Governments, have signed this Agreement.

DONE in duplicate at Stockholm this twelfth day of March 2002, each in the Malay, the Swedish and the English language, the three texts being equally authentic. In the event of there being a dispute in the interpretation and the application of this Agreement, the English text shall prevail.

1. At the time of signing the Agreement between the Government of the Kingdom of Sweden and the Government of Malaysia for the avoidance of double taxation and the prevention of fiscal evasion with respect to taxes on income, both Governments have agreed that the following provisions shall form an integral part of the Agreement.

2. It is understood that:

(a) with reference to Article 8, profits derived by the air transport consortium Scandinavian Airlines System (SAS) the provisions of paragraph 1 shall apply only to such part of the profits as corresponds to the participation held in that consortium by SAS Sverige AB, the Swedish partner of SAS;

(b) with reference to paragraph 3 of Article 14, gains derived by the air transport consortium Scandinavian Airlines System (SAS) the provisions of this paragraph shall apply only to such part of the profits as corresponds to the participation held in that consortium by SAS Sverige AB, the Swedish partner of SAS; and

(c) with reference to paragraph 3 of Article 16, where a resident of Sweden derives remuneration in respect of an employment exercised aboard an aircraft operated in international traffic by the air transport consortium Scandinavian Airlines System (SAS), such remuneration shall be taxable only in Sweden.

IN WITNESS whereof the undersigned, duly authorised thereto, by their respective Governments, have signed this Protocol.
